The Editor package includes the following components, all of which are subject to the terms outlined in this Purchase Order:

All software licenses for the Editor shall be delivered electronically within ten (10) business days of the issuance of this Purchase Order. Physical installation media, if required, shall be shipped to the buyer's premises at 12 Boulevard de la République, Plateau, Dakar, Senegal. The on-site installation team, dispatched by the supplier through the local agent Sahel Digital Distribution Ltd., shall arrive in Dakar, Senegal no later than 1 August 2025. All deployment activities, including server configuration, network integration, and Editor module activation, must be completed within fourteen (14) calendar days of the team's arrival in Dakar.

The Editor training workshop shall be conducted at the buyer's headquarters in Dakar, Senegal and shall be delivered in both French and English to accommodate the full staff. The supplier guarantees that all Editor documentation, user manuals, and in-app help resources shall be available in French, English, and Wolof upon deployment in Senegal, Dakar.

• Advance Payment: 30% of the total Purchase Order value (13,965,000 XOF) shall be remitted via bank transfer within five (5) business days of signing this Purchase Order.
• Delivery Payment: 50% of the total Purchase Order value (23,275,000 XOF) shall be due upon successful installation and verification of the Editor in Dakar, Senegal, confirmed by a signed acceptance certificate.
• Final Payment: The remaining 20% of the total Purchase Order value (9,310,000 XOF) shall be payable within thirty (30) days following the completion of the Editor training program and the commencement of the support contract.
• All payments shall be made in West African CFA Francs (XOF) to the account of Sahel Digital Distribution Ltd., the authorized local agent in Senegal, Dakar. Bank details are provided in Annex A of this Purchase Order.

• This Purchase Order is governed by the commercial laws of the Republic of Senegal and, where applicable, the OHADA (Organisation pour l'Harmonisation en Afrique du Droit des Affaires) uniform acts.
• The Editor software shall be licensed exclusively for use within the territory of Senegal, with primary operations based in Dakar. Any redistribution, resale, or transfer of the Editor outside of Senegal, Dakar, without written consent from the supplier, is strictly prohibited.
• The supplier warrants that the Editor shall be free from material defects for a period of twenty-four (24) months from the date of installation in Dakar, Senegal. During this warranty period, all software updates, patches, and security fixes for the Editor shall be provided at no additional cost.
• In the event of a dispute arising from this Purchase Order, the parties shall first attempt resolution through good-faith negotiation. Should negotiation fail, the matter shall be referred to the competent commercial court in Dakar, Senegal.
• The supplier shall comply with all applicable data protection regulations in Senegal, including the Senegalese Law No. 2008-12 of 25 January 2008 on the Protection of Personal Data, insofar as the Editor processes any personal information during its operation in Dakar.
• Force majeure events, including but not limited to natural disasters, civil unrest, or government-imposed restrictions in Senegal, Dakar, that prevent the timely fulfillment of obligations under this Purchase Order, shall extend the affected deadline by a period equal to the duration of the force majeure event.
• This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations, including the 24-month support term for the Editor, have been fully discharged.
