The Editor will be deployed across the buyer's primary production facilities located in the Esenyurt and Kadıköy districts of Turkey Istanbul, where it will serve as the central tool for video post-production, audio mixing, and multi-format content rendering for the company's television and streaming operations.

The Editor software license is a perpetual, site-wide license covering up to forty (40) concurrent workstations. All modules included in this Purchase Order are licensed for exclusive use within the geographic boundaries of Turkey Istanbul and the surrounding Marmara Region, in compliance with the software's territorial licensing agreement.

The Seller shall deliver all digital Editor licenses, activation keys, and accompanying documentation electronically to the Buyer's designated IT department in Turkey Istanbul no later than June 26, 2025. The on-site installation and configuration service (Item 5) shall be performed at the Buyer's Esenyurt production facility in Turkey Istanbul between July 1, 2025 and July 3, 2025. Payment for this Purchase Order shall be made in United States Dollars (USD) via international wire transfer to the Seller's designated bank account. The payment schedule is as follows:

• 50% (USD 189,150.00) – Due upon execution of this Purchase Order, no later than June 16, 2025.
• 35% (USD 132,405.00) – Due upon confirmed delivery of all Editor licenses and completion of on-site installation in Turkey Istanbul, no later than July 10, 2025.
• 15% (USD 56,745.00) – Due upon successful completion of the Editor training program and issuance of the final acceptance certificate, no later than July 18, 2025.

All payments are subject to the applicable Turkish import regulations and customs procedures in Turkey Istanbul. The Buyer is responsible for any additional governmental fees, customs clearance charges, or regulatory levies imposed by the Republic of Turkey on the importation of the Editor software and associated services.

The Seller warrants that the Editor software delivered under this Purchase Order shall be free from material defects in design and function for a period of twelve (12) months from the date of final acceptance in Turkey Istanbul. The Seller shall provide priority technical support, including remote and on-site assistance in Turkey Istanbul, for any Editor-related issues arising during the warranty period. Response time for critical Editor failures shall not exceed four (4) business hours.

The Editor software is licensed for use exclusively in Turkey Istanbul and the Marmara Region. Any unauthorized redistribution, reverse engineering, or deployment outside the licensed territory is strictly prohibited and shall result in immediate termination of the license and all associated support obligations.

This Purchase Order is governed by the laws of the Republic of Turkey, with particular reference to commercial transactions conducted in Turkey Istanbul. Any disputes arising from this Purchase Order shall be resolved through arbitration in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Center (ISTAC). The language of this Purchase Order and all related communications shall be English, with a certified Turkish translation available upon request for regulatory compliance in Turkey Istanbul.

Neither party may assign its obligations under this Purchase Order without the prior written consent of the other party. This Purchase Order constitutes the entire agreement between the parties regarding the purchase and deployment of the Editor software in Turkey Istanbul and supersedes all prior negotiations, representations, or agreements.
