All hardware components listed under this Purchase Order shall be delivered to the buyer's premises at Plot 14, Kampala Road, Kampala, Uganda, within forty-five (45) calendar days from the date of this Purchase Order. The Editor software licenses shall be delivered electronically via secure download portal no later than ten (10) business days prior to the on-site installation date. The seller is responsible for all international shipping, customs clearance at Entebbe International Airport, and final delivery to the designated Uganda Kampala address. All goods must comply with the standards set by the Uganda National Bureau of Standards (UNBS) and the Uganda Communications Commission (UCC) where applicable.

• Advance Payment: 30% of the total Purchase Order value (USD 85,331.70) shall be remitted via international wire transfer within seven (7) business days of the buyer's written acceptance of this Purchase Order.
• Delivery Payment: 50% of the total Purchase Order value (USD 142,219.50) shall be paid upon confirmed delivery and successful installation of the Editor suite at the Kampala, Uganda facility.
• Retention Payment: The remaining 20% (USD 56,887.80) shall be released thirty (30) days after the completion of the on-site training and a satisfactory performance acceptance test of the Editor system.
• All payments shall be made in United States Dollars (USD) to the seller's designated bank account. The buyer shall bear any applicable banking charges on the sender's side.

• This Purchase Order is governed by the laws of the Republic of Uganda and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG).
• The Editor software and hardware are warranted to be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of installation in Kampala, Uganda.
• The seller shall provide a dedicated technical support representative accessible via phone, email, and video conference for the duration of the three-year support contract, with a maximum response time of four (4) business hours for critical Editor system failures.
• Any delay in delivery beyond the stipulated forty-five (45) day window shall attract a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10% of the total value.
• The buyer reserves the right to inspect all Editor hardware upon arrival at the Kampala, Uganda premises and to reject any items that do not conform to the specifications outlined in this Purchase Order.
• Intellectual property rights for the Editor software remain with the seller. The buyer is granted a non-transferable, non-exclusive license for use within its Uganda Kampala operations.
• Disputes arising from this Purchase Order shall be resolved through arbitration in Kampala, Uganda, in accordance with the rules of the Uganda Arbitration Centre.

This Purchase Order becomes effective upon signature by both parties. The buyer confirms that the Editor suite described herein meets the operational requirements of its editorial and publishing division in Uganda Kampala and authorizes the seller to proceed with fulfillment of this Purchase Order under the terms stated above.
