All services, software installations, training sessions, and editorial deliverables under this Purchase Order shall be performed and delivered at the Buyer's primary office located in United Arab Emirates Dubai, specifically at Burj Khalifa, Downtown Dubai. The Editor team shall be physically present at the Dubai office no fewer than four (4) days per week, with the remaining day allocated to remote collaborative work. All editorial software and the workflow management platform shall be configured to operate within the UAE data residency requirements as mandated by the UAE Information and Communications Technology Office (ICTO).
- 4.1 This Purchase Order constitutes a binding agreement upon countersignature by both parties. All terms herein shall be governed by the laws of the United Arab Emirates and the specific commercial regulations of Dubai.
- 4.2 The Editor personnel engaged under this order shall be subject to the UAE Labour Law (Federal Decree-Law No. 33 of 2021) and shall hold valid UAE residence permits and work visas for the duration of the contract.
- 4.3 Payment shall be made via bank transfer to the Supplier's designated account in a UAE-based financial institution. Invoices shall be submitted in AED (United Arab Emirates Dirham) and must include the Supplier's UAE Tax Registration Number (TRN).
- 4.4 The Supplier warrants that all Editor software licenses procured under this order are genuine, properly licensed, and free from any intellectual property encumbrances. Any breach of this warranty shall render this Purchase Order voidable at the Buyer's sole discretion.
- 4.5 All editorial content produced by the Editor team shall comply with the UAE Media Regulatory Authority (MRA) content guidelines, the Dubai Media Office regulations, and applicable federal and emirate-level censorship and cultural sensitivity standards.
- 4.6 The Supplier shall provide a comprehensive service-level agreement (SLA) ensuring that all editorial deliverables are completed within the timelines specified in the project schedule annexed to this Purchase Order. Failure to meet SLA benchmarks shall result in a 2% penalty per day of delay, capped at 15% of the affected line item value.
- 4.7 Confidentiality: All manuscripts, drafts, and proprietary content handled by the Editor team shall be treated as strictly confidential. A mutual Non-Disclosure Agreement (NDA) executed in Dubai shall accompany this order.
- 4.8 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable for all services rendered and software licenses activated up to the termination date.
- 4.9 Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mediation in Dubai. If unresolved within sixty (60) days, the matter shall be referred to the Dubai International Financial Centre (DIFC) Courts or the Dubai Courts, as applicable.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of Editor services in United Arab Emirates Dubai. This document shall be executed in two (2) original copies, one for each party.
