This Purchase Order is issued for the procurement of a comprehensive Editor workstation and software suite, specifically configured for professional editorial operations to be conducted at our facility in United Kingdom Manchester. The Editor package encompasses all hardware, software licences, peripherals, and professional accessories required to establish a fully operational editorial suite. The Editor role within our organisation involves the post-production of broadcast-quality video content, audio editing for national radio programming, and digital media management for our streaming platforms. All equipment specified below must meet the technical standards required for a senior Editor operating within the United Kingdom Manchester media production environment.

All items specified in this Purchase Order shall be delivered, installed, and configured at the designated facility in United Kingdom Manchester at the address stated in Section 2. The supplier is responsible for all logistics, insurance during transit, and on-site installation within the United Kingdom Manchester premises. The Editor workstation and associated equipment must be fully operational and tested prior to the handover date. The supplier shall provide a written commissioning report confirming that all Editor components meet the agreed specifications and are ready for immediate professional use. Delivery access to the United Kingdom Manchester site will be coordinated with our facilities management team, and the supplier must provide at least 48 hours' written notice prior to the delivery date.

Upon delivery in United Kingdom Manchester, the purchasing entity shall have a period of five (5) working days to inspect and test all Editor equipment and software. Any defects, non-conformities, or items that do not meet the specifications outlined in this Purchase Order must be reported in writing to the supplier within the inspection period. The supplier shall rectify or replace any non-conforming items at no additional cost within ten (10) working days of notification. Acceptance of the Editor package shall be confirmed in writing by the designated project manager at the United Kingdom Manchester facility.

Payment of the total amount of £44,184.00 (Forty-Four Thousand One Hundred and Eighty-Four Pounds Sterling) shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the date of confirmed acceptance of the Editor package in United Kingdom Manchester. The supplier shall issue a valid VAT invoice in accordance with United Kingdom tax regulations. Late payments shall incur interest at a rate of 4% above the Bank of England base rate, calculated on a daily basis. All payments are subject to the terms and conditions of this Purchase Order and applicable United Kingdom commercial law.

The supplier warrants that all Editor hardware and software supplied under this Purchase Order shall be free from defects in materials and workmanship for a minimum period of twenty-four (24) months from the date of acceptance in United Kingdom Manchester. All software licences are granted in accordance with United Kingdom intellectual property law. The Editor equipment shall comply with all applicable United Kingdom health and safety regulations, electromagnetic compatibility directives, and data protection requirements under the UK General Data Protection Regulation (UK GDPR). The supplier shall provide all necessary documentation, user manuals, and compliance certificates at the time of delivery.

This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order, including the procurement, delivery, or use of the Editor package in United Kingdom Manchester, shall be subject to the exclusive jurisdiction of the courts of England and Wales. The parties agree to attempt good-faith negotiation before initiating any formal legal proceedings.
