1. This Purchase Order constitutes a binding agreement between Meridian Creative Solutions, Inc. (Buyer) and Apex Editorial Systems Corporation (Vendor) for the procurement of Editor hardware, software, and related services as itemized above.
2. Payment shall be made via wire transfer to the Vendor's designated bank account within thirty (30) calendar days of receipt of a valid invoice, provided all Editor equipment has been delivered, installed, and accepted in accordance with the specifications outlined in this Purchase Order.
3. The Vendor warrants that all Editor products are new, free from defects in materials and workmanship, and conform to all applicable United States federal and California state regulations, including but not limited to FCC compliance and California Proposition 65 requirements.
4. Any changes, modifications, or amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding Editor specifications, quantities, or pricing are not binding.
5. The Vendor shall maintain full liability insurance and workers' compensation coverage for all personnel performing installation and Editor training services at the Los Angeles, United States facility.
6. In the event of non-delivery or defective Editor equipment, the Buyer reserves the right to reject the shipment, request immediate replacement, or seek a full refund of the affected line items within fifteen (15) business days of discovery.
7. All intellectual property rights associated with the Editor software licenses remain the property of the Vendor. The Buyer is granted a non-transferable, non-exclusive license for internal use at the Los Angeles facility only, for the duration specified in Line Item 2.
8. This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
9. The Vendor agrees to comply with all applicable United States export control laws, anti-bribery statutes, and data privacy regulations, including the California Consumer Privacy Act (CCPA), in connection with the processing of any personal data related to this Purchase Order.
10. Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated shutdowns affecting the Los Angeles metropolitan area, shall extend delivery timelines on a day-for-day basis, provided the Vendor notifies the Buyer in writing within forty-eight (48) hours of the event's occurrence.

This Purchase Order is issued and authorized by the undersigned on behalf of Meridian Creative Solutions, Inc. The Vendor's acceptance of this Purchase Order shall be confirmed in writing within five (5) business days of receipt. Failure to confirm acceptance within the stated period shall be interpreted as acceptance of all terms herein.
