1. Description of Goods and ServicesThis Purchase Order is issued by Central Media & Digital Solutions LLP for the acquisition of a comprehensive professional Editor software suite, including perpetual licenses, hardware peripherals, and on-site deployment services. The Editor software package is intended for use in our primary production facility located in Uzbekistan Tashkent, where it will serve as the central tool for video post-production, content editing, and multimedia project management for our broadcasting and digital media division.

All hardware components specified in this Purchase Order shall be delivered to the buyer's premises at 142 Amir Temur Avenue, Tashkent, 100084, Uzbekistan, no later than 15 July 2025. The seller is responsible for all logistics, including international freight, customs documentation required by the Republic of Uzbekistan, and final-mile delivery within Tashkent. The Editor software licenses shall be delivered electronically via secure download links no later than 10 July 2025, allowing for pre-installation on the workstations prior to hardware arrival.
On-site installation and configuration services in Uzbekistan Tashkent shall commence within five (5) business days of hardware delivery. The seller's technical team shall remain on-site until all Editor workstations are fully operational, networked to the central server, and verified by the buyer's IT department.

Payments shall be made via international wire transfer to the seller's designated bank account. All banking fees on the buyer's side shall be borne by the buyer. The buyer shall provide a copy of the remittance advice within two (2) business days of each payment.
4. Acceptance and WarrantyThe buyer shall have a period of ten (10) business days following the completion of installation to test and verify the Editor software suite and all associated hardware. Acceptance shall be confirmed in writing by the buyer's Technical Director. Any defects, non-conformities, or performance issues identified during this period shall be rectified by the seller at no additional cost. The Editor software carries a standard two-year manufacturer's warranty, and all hardware components carry a minimum three-year warranty as specified by their respective manufacturers.
5. General Terms and ConditionsThis Purchase Order is governed by the commercial laws of the Republic of Uzbekistan and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall be resolved through arbitration in Tashkent, Uzbekistan, in accordance with the rules of the International Arbitration Center under the Chamber of Commerce and Industry of Uzbekistan. The Editor software licenses are non-transferable and restricted to use solely at the buyer's facility in Uzbekistan Tashkent. The seller warrants that all Editor software provided is free from intellectual property encumbrances and complies with all applicable software licensing regulations.
Notes:1. This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue.
2. The seller must provide all necessary import documentation for customs clearance in Uzbekistan, including commercial invoices, packing lists, certificates of origin, and software license certificates.
3. The Editor training program shall be conducted in English, with all supplementary materials and user guides also provided in Uzbek language.
4. Any changes to the scope, quantities, or delivery schedule of this Purchase Order must be agreed upon in writing by both parties prior to implementation.
5. The seller shall maintain a dedicated technical support line accessible from Uzbekistan Tashkent during standard business hours (09:00–18:00 Tashkent time, GMT+5).
