This Purchase Order is issued by Beijing Capital Education Development Group Co., Ltd. (hereinafter referred to as the "Buyer") to Meridian Global Talent Solutions (Beijing) Co., Ltd. (hereinafter referred to as the "Supplier") for the procurement of professional services rendered by a qualified Education Administrator to be deployed at the Buyer's primary campus located in Chaoyang District, China Beijing. The Education Administrator shall be responsible for the day-to-day coordination of academic programs, curriculum scheduling, faculty liaison, student records management, and compliance with the Ministry of Education of the People's Republic of China regulations applicable to all educational institutions operating within China Beijing.

5.1 Scope of the Education Administrator Role. The Education Administrator engaged under this Purchase Order shall perform duties including but not limited to: managing the academic calendar for the China Beijing campus; coordinating with the Beijing Municipal Commission of Education on annual accreditation filings; supervising a team of no fewer than twelve (12) teaching staff; maintaining student enrollment databases in compliance with the Personal Information Protection Law of the People's Republic of China; and preparing quarterly operational reports for the Buyer's Board of Directors.
5.2 Commencement and Delivery. The Education Administrator shall report for duty no later than 1 August 2025 at the Buyer's premises in Chaoyang District, China Beijing. The Supplier guarantees that the Education Administrator shall have completed all onboarding procedures, including local household registration (hukou) verification and work permit acquisition, prior to the commencement date.
5.3 Payment Terms. Payment shall be made in three (3) installments: (a) 30% (CNY 98,262.00) upon execution of this Purchase Order; (b) 40% (CNY 131,016.00) upon confirmed commencement of the Education Administrator's duties; and (c) 30% (CNY 98,262.00) upon successful completion of the twelve-month service period. All payments shall be made via bank transfer to the Supplier's designated account in China Beijing. Late payments shall accrue interest at 0.05% per calendar day in accordance with the Civil Code of the People's Republic of China.
5.4 Governing Law and Dispute Resolution. This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising from or in connection with this Purchase Order, including the performance of the Education Administrator's duties, shall be resolved through arbitration administered by the Beijing Arbitration Commission (BAC) in China Beijing. The language of arbitration shall be English, and the arbitral award shall be final and binding.
5.5 Confidentiality. Both parties acknowledge that the terms of this Purchase Order, the identity and compensation details of the Education Administrator, and all student and faculty data accessed during the service period constitute confidential information. Neither party shall disclose such information to any third party without prior written consent, in compliance with the Data Security Law of the People's Republic of China.
5.6 Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Supplier, including failure to provide a qualified Education Administrator or failure to maintain regulatory compliance in China Beijing, the Buyer may terminate immediately and shall be entitled to a full refund of all prepaid amounts.
Note: This Purchase Order is subject to approval by the Buyer's Finance Committee and the relevant China Beijing municipal education regulatory authority. The Education Administrator's employment contract, once executed, shall be a separate legal instrument governed by the Labor Contract Law of the People's Republic of China.
