3. Description of Goods and Services

This Purchase Order is issued by Northgate Infrastructure Solutions Inc. to procure the professional services of a qualified Electrical Engineer for the design, review, and certification of electrical systems for the proposed commercial development project located at 3400 Bloor Street West, Canada Toronto, Ontario. The Electrical Engineer shall be a licensed Professional Engineer (P.Eng.) in good standing with the Professional Engineers Ontario (PEO) regulatory body and shall possess a minimum of fifteen (15) years of demonstrated experience in commercial and mixed-use electrical system design within the Canada Toronto metropolitan area.

4. Scope of Work and Deliverables

The Electrical Engineer engaged under this Purchase Order shall perform the following duties in full compliance with all applicable federal, provincial, and municipal regulations governing electrical practice in Canada Toronto:

  • Prepare complete electrical design drawings, specifications, and calculations for the subject property, including but not limited to service entrance, main switchgear, sub-distribution panels, branch circuiting, emergency and standby power systems, and dedicated fire alarm and life safety circuits.
  • Ensure all design deliverables conform to the Canadian Electrical Code, Part I (CEC), the Ontario Electrical Safety Code, and all applicable by-laws of the City of Canada Toronto, including the Toronto Building Code and the Toronto Electrical By-law.
  • Coordinate with the project architect, structural engineer, mechanical engineer, and the Canada Toronto Building Division to ensure integrated design compatibility and permit compliance.
  • Provide on-site supervision during the construction phase to verify that installed electrical systems match the approved design documents and meet the quality standards expected by the Canada Toronto municipal inspection authority.
  • Deliver all final as-built drawings, commissioning test reports, and PEO-sealed documentation within thirty (30) calendar days of substantial completion of the electrical work.
  • Attend all mandatory project coordination meetings scheduled by the Buyer, with a minimum of two (2) meetings per month during the active design and construction phases.
5. Terms and Conditions
  • 5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties. All services shall be rendered in Canada Toronto, Ontario, Canada, unless otherwise agreed in writing.
  • 5.2 The Electrical Engineer shall maintain professional liability insurance with a minimum coverage of $5,000,000 per occurrence and $10,000,000 in the aggregate, naming the Buyer as an additional insured party. Certificates of insurance shall be provided prior to commencement of work.
  • 5.3 Payment shall be made in accordance with the following milestone schedule: 25% upon execution of this Purchase Order; 35% upon delivery and approval of 100% design drawings; 30% upon completion of on-site supervision; and 10% upon delivery of final as-built documentation. All payments are subject to the Net 30 payment terms stated herein.
  • 5.4 The Electrical Engineer shall be responsible for obtaining and maintaining all necessary professional engineering licenses, PEO membership, and any additional permits required by the Province of Ontario or the City of Canada Toronto for the performance of the services described herein.
  • 5.5 Any changes to the scope of work must be documented in a formal Change Order signed by both parties prior to execution. No additional compensation shall be owed for work performed outside the scope of this Purchase Order without prior written authorization.
  • 5.6 This agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Toronto before proceeding to litigation in the Superior Court of Ontario.
  • 5.7 The Seller warrants that all deliverables shall be original work, free from intellectual property infringement, and shall comply with all applicable Canadian and Ontario standards for electrical engineering practice.
  • 5.8 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days written notice in the event of material breach by the Seller, failure to meet project milestones, or loss of the Electrical Engineer's PEO license or professional standing.
6. Acceptance and Authorization

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of an Electrical Engineer for the project located in Canada Toronto, Ontario, Canada.
