This Purchase Order is issued by Beijing Huadong Infrastructure Development Co., Ltd. (hereinafter referred to as the "Purchaser") to Capital Electrical Engineering Consulting Group Co., Ltd. (hereinafter referred to as the "Supplier") for the procurement of specialized professional services rendered by a qualified Electrical Engineer. The Electrical Engineer shall provide comprehensive design, review, and technical oversight services for the electrical infrastructure systems of the Purchaser's commercial development project located in the Yizhuang Economic Development Zone, Beijing, China. The scope of work encompasses low-voltage and medium-voltage power distribution systems, building automation and control systems, emergency backup power generation, lightning protection, and compliance verification in accordance with the national standards GB 50052-2009 and GB 50054-2011 applicable in China Beijing.

1. Commencement: The Electrical Engineer shall commence all services no later than 1 July 2025 at the project site in Yizhuang, Beijing, China. Any delay in commencement beyond 5 business days shall entitle the Purchaser to a penalty of 0.5% of the total Purchase Order value per day of delay.
2. Payment Terms: Payment shall be made in four (4) installments: 30% upon execution of this Purchase Order, 30% upon completion of detailed design (Item 2), 30% upon completion of site supervision (Item 3), and 10% upon final acceptance of commissioning reports. All payments shall be made via bank transfer to the Supplier's designated account in Beijing, China, within 15 business days of invoice receipt.
3. Qualification Requirements: The assigned Electrical Engineer must hold a valid Class-1 Registered Electrical Engineer (Registered Electrical Engineer, Grade 1) license issued by the Ministry of Housing and Urban-Rural Development of the People's Republic of China, and must possess a minimum of ten (10) years of professional experience in commercial and industrial electrical systems in China Beijing.
4. Intellectual Property: All design documents, calculations, drawings, and technical reports produced by the Electrical Engineer under this Purchase Order shall become the exclusive property of the Purchaser upon full payment. The Supplier shall not reuse, reproduce, or disclose such materials to any third party without written consent.
5. Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be resolved through amicable negotiation. If negotiation fails within 30 days, the dispute shall be submitted to the Beijing Arbitration Commission (BAC) for arbitration in Beijing, China, in accordance with its then-current arbitration rules. The arbitral award shall be final and binding upon both parties.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government orders, or public health emergencies as declared by the authorities in China Beijing.
8. Termination: Either party may terminate this Purchase Order with 30 days' written notice if the other party commits a material breach and fails to cure such breach within the notice period. Upon termination, the Purchaser shall pay for all services satisfactorily rendered up to the date of termination.
9. Applicable Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, including the Civil Code of the PRC and the Regulations on the Administration of Construction of the PRC, as applicable to professional engineering services in China Beijing.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Electrical Engineer. This Purchase Order constitutes a binding contractual agreement between the Purchaser and the Supplier effective from the date of the last signature.
