This Purchase Order is issued by Shanghai Horizon Infrastructure Group Co., Ltd. (hereinafter referred to as the "Buyer") to engage the services of a qualified Electrical Engineer for the design, review, and technical oversight of electrical infrastructure works located within the administrative boundaries of China Shanghai. This Purchase Order constitutes a binding procurement instrument in accordance with the Civil Code of the People's Republic of China and all applicable municipal regulations governing professional engineering services in the Shanghai municipality.

1. Scope of Services — Electrical Engineer Engagement

The Electrical Engineer identified in this Purchase Order shall provide comprehensive professional engineering services for the Shanghai Grid Expansion Project, Phase III. The scope of work encompasses the following deliverables, all to be performed in compliance with the national standard GB 50052-2009 (Design Code for Power Supply and Distribution) and the Shanghai Municipal Electrical Installation Regulations:

2. Payment Terms

2.1. Payment shall be made in Chinese Yuan (CNY) via bank transfer to the account designated by the Electrical Engineer as stated in this Purchase Order. All transactions shall be processed through a licensed financial institution operating within the People's Republic of China.

2.2. A mobilization payment of 20% (CNY 110,500.00) shall be due within 10 business days of the execution of this Purchase Order.

2.3. Progress payments of 25% per completed project phase (CNY 138,125.00 per phase) shall be due upon written acceptance of deliverables by the Buyer's project manager in China Shanghai.

2.4. The final payment of 10% (CNY 55,250.00) shall be released 90 days after project completion, subject to the satisfactory conclusion of the warranty period and the absence of any outstanding defects in the Electrical Engineer's work.

2.5. All invoices must reference this Purchase Order number (PO-SH-EE-2025-0472) and must be issued in accordance with the State Taxation Administration of China's electronic invoice (fapiao) requirements.

3. Terms and Conditions

3.1. Qualification Requirement: The Electrical Engineer must hold a valid Class A Electrical Engineering Practice License issued by the Shanghai Municipal Human Resources and Social Security Bureau. The license must remain active throughout the entire duration of this Purchase Order.

3.2. Compliance with Local Regulations: All services rendered under this Purchase Order shall comply with the laws and regulations of the People's Republic of China, the Shanghai Municipal Regulations on Construction Project Quality Management, and all applicable standards published by the China Electric Power Research Institute.

3.3. Intellectual Property: All designs, calculations, reports, and documentation produced by the Electrical Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Electrical Engineer shall not reuse, reproduce, or disclose any project-specific information pertaining to the China Shanghai infrastructure works without prior written consent.

3.4. Insurance: The Electrical Engineer shall maintain professional indemnity insurance with a minimum coverage of CNY 2,000,000.00 and public liability insurance of CNY 1,000,000.00 for the duration of the engagement. Certificates of insurance shall be provided to the Buyer prior to the commencement date.

3.5. Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Electrical Engineer shall be compensated for all work satisfactorily completed up to the termination date, as verified by the Buyer's site supervisor in China Shanghai.

3.6. Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to the Shanghai International Arbitration Center (SHIAC) for binding arbitration in accordance with its rules of procedure. The seat of arbitration shall be Shanghai, China.

3.7. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in China Shanghai, or changes in national electrical safety legislation.

4. Acceptance and Authorization

By signing below, both parties acknowledge that this Purchase Order represents a mutual agreement for the procurement of Electrical Engineer professional services in the jurisdiction of China Shanghai. This document is executed in two (2) original copies, one for each party, and carries equal legal weight under the applicable laws of the People's Republic of China.
