This Purchase Order is issued by Nile Delta Engineering & Infrastructure Co. to engage the services of a qualified Electrical Engineer and associated technical team for the design, supervision, and commissioning of electrical infrastructure as part of the Phase III development project located in the New Administrative Capital district, Egypt Cairo. The Electrical Engineer shall be responsible for all low-voltage and medium-voltage distribution systems, power generation backup solutions, lighting design, and compliance with Egyptian Electrical Code (EEC) standards and the Egyptian Organization for Standardization and Quality (EOS) regulations.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Egypt Cairo.
- Commencement and Duration: The Electrical Engineer shall commence services no later than 21 July 2025. The total project duration is estimated at 120 calendar days from the date of commencement, subject to site access conditions in Egypt Cairo.
- Payment Schedule: Payment shall be made in three installments: 30% upon signing and mobilization, 40% upon completion of design and mid-project milestone review, and 30% upon final handover and acceptance. All payments shall be made via bank transfer to the supplier's account in Egypt Cairo within 30 days of invoice receipt.
- Qualifications: The assigned Electrical Engineer must hold a valid license from the Egyptian Engineers Syndicate (Cairo Branch), possess a minimum of 10 years of experience in commercial and residential electrical infrastructure, and demonstrate familiarity with Egyptian Electrical Code (EEC) and IEC standards.
- Insurance and Liability: The supplier shall maintain professional indemnity insurance with a minimum coverage of EGP 5,000,000 and public liability insurance throughout the duration of this Purchase Order. The Electrical Engineer shall be fully liable for any design errors or omissions that result in non-compliance with Egyptian regulatory standards.
- Intellectual Property: All drawings, calculations, reports, and documentation produced under this Purchase Order shall become the exclusive property of Nile Delta Engineering & Infrastructure Co. upon full payment.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination for convenience, the supplier shall be compensated for work completed up to the termination date, as certified by the project manager.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Egypt Cairo, or civil unrest, provided that written notice is given within 48 hours of the event.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all project specifications, site plans, and commercial terms disclosed under this Purchase Order for a period of three (3) years following project completion.
All deliverables, including design documents, test reports, and as-built packages, shall be submitted electronically (PDF and CAD formats) and in hard copy (three sets) to the NDEIC project office at 127 El Tahrir Street, Egypt Cairo. The Electrical Engineer shall have full access to the project site located in the New Administrative Capital, Egypt Cairo, during standard working hours (Sunday through Thursday, 08:00–17:00 EET). The buyer shall provide necessary site access permits and safety induction prior to commencement.
7. Acceptance and SignaturesBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. This document constitutes a binding agreement for the procurement of Electrical Engineer services as described herein.
