1. Description of Services

This Purchase Order is issued by PT Nusantara Infrastructure Solutions (hereinafter referred to as the "Buyer") to engage the services of an independent Electrical Engineer, Ir. Budi Santoso, M.Eng. (hereinafter referred to as the "Supplier"), for the design, review, and commissioning of electrical infrastructure systems for the new commercial development project located in the South Jakarta district of Indonesia Jakarta. The Electrical Engineer shall provide full professional services in accordance with the Indonesian National Standard (SNI 0225-1995) for electrical installations and all applicable regulations issued by the Ministry of Energy and Mineral Resources of the Republic of Indonesia.

3. Payment Terms

Payment shall be made in Indonesian Rupiah (IDR) via bank transfer to the account designated by the Electrical Engineer as stated in the attached invoice.
30% (thirty percent) of the total contract value shall be paid upon signing and acceptance of this Purchase Order as an advance payment.
40% (forty percent) shall be paid upon completion and acceptance of the electrical system design deliverables (Item 1 and Item 2).
20% (twenty percent) shall be paid upon successful commissioning and handover of all electrical systems (Item 3).
10% (ten percent) shall be paid upon final acceptance of all documentation and completion of the training program (Items 4 and 5).
All payments are due within fourteen (14) calendar days from the date of invoice submission. Late payments shall incur a penalty of 1% per month as per Indonesian commercial law.

4. Terms and Conditions

This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Indonesia, specifically the Indonesian Civil Code (Kitab Undang-Undang Hukum Perdata) and applicable regulations in Indonesia Jakarta.
The Electrical Engineer shall maintain all necessary professional licenses, certifications, and liability insurance throughout the duration of the engagement. Any lapse in professional standing shall constitute grounds for immediate termination of this Purchase Order.
All work shall be performed in compliance with the Building and Construction Law (UU No. 28 Tahun 2002) and the Electrical Installation Standard (SNI 0225-1995) as enforced by the relevant authorities in Indonesia Jakarta.
The Electrical Engineer shall provide weekly progress reports to the Buyer's project management team and shall be available for on-site meetings at the project location in South Jakarta, Indonesia Jakarta, no fewer than three (3) times per week.
Any changes to the scope of work must be documented in a written Change Order signed by both parties before implementation. No additional charges shall be incurred without prior written approval under this Purchase Order.
The Electrical Engineer warrants that all designs, calculations, and documentation shall be original work and free from intellectual property infringement. The Buyer shall receive full ownership of all deliverables upon final payment.
Confidentiality: Both parties agree to maintain strict confidentiality regarding all project details, proprietary information, and commercial terms contained within this Purchase Order and any associated documents.
Dispute resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the Jakarta District Court (Pengadilan Negeri Jakarta Selatan) for adjudication.
This Purchase Order becomes effective upon signature by both parties and shall remain valid until all obligations have been fully discharged. It may be terminated by either party with thirty (30) days written notice in the event of material breach.

5. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Electrical Engineer for the commercial development project in Indonesia Jakarta. This document constitutes a binding agreement between the parties.
