This Purchase Order is issued by Kenya Nairobi Engineering & Infrastructure Solutions Ltd. to formally engage the services of a qualified Electrical Engineer and associated technical team for the design, supervision, and commissioning of electrical infrastructure for the proposed commercial development project located in Kenya Nairobi. The Electrical Engineer shall be responsible for all aspects of electrical system design, load calculations, power distribution planning, lighting design, earthing and lightning protection systems, and compliance with the Kenya Electricity Act (Cap. 158) and the Energy and Petroleum Regulatory Authority (EPRA) standards applicable in Kenya Nairobi.

1. This Purchase Order constitutes a binding agreement between Kenya Nairobi Engineering & Infrastructure Solutions Ltd. (hereinafter "the Buyer") and VoltTech Professional Services (Kenya) Ltd. (hereinafter "the Supplier") for the provision of professional Electrical Engineer services as described herein.
2. The Electrical Engineer engaged under this Purchase Order must hold a valid Practising Certificate issued by the Engineering Board of Kenya (EBK) and be registered with the Institution of Engineers of Kenya (IEK). A copy of the Electrical Engineer's credentials shall be submitted prior to commencement of work.
3. All design work shall comply with the Kenya Electricity Act, EPRA regulations, Kenya Bureau of Standards (KEBS) codes, and the Kenya Nairobi City County Government building bylaws. The Electrical Engineer shall ensure all submissions meet the requirements of the Kenya Nairobi City County Department of Buildings and Planning.
4. Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice from the Supplier. Payment shall be made via bank transfer to the account designated by the Supplier. All payments are subject to applicable Kenyan tax deductions including VAT and Withholding Tax as prescribed by the Kenya Revenue Authority (KRA).
5. The Supplier shall provide a Performance Bond of 10% of the total Purchase Order value, issued by a Kenyan commercial bank, valid for the duration of the project plus sixty (60) days.
6. Any variation or change in scope of work must be approved in writing by the Buyer's Procurement Manager before execution. No additional charges will be accepted without a formal Purchase Order amendment.
7. The Supplier shall maintain comprehensive Professional Indemnity Insurance of not less than KES 20,000,000 for the duration of the engagement, covering all work performed in Kenya Nairobi.
8. In the event of default or failure to meet the required delivery/commencement date, the Buyer reserves the right to terminate this Purchase Order with immediate effect and seek alternative Electrical Engineer services without liability to the Supplier.
9. All disputes arising from this Purchase Order shall be resolved through arbitration in Kenya Nairobi in accordance with the Arbitration Act, 1995 of Kenya. The language of arbitration shall be English.
10. This Purchase Order is governed by the laws of the Republic of Kenya. The venue for any legal proceedings shall be the courts of Kenya Nairobi.
11. The Supplier shall not subcontract any portion of the Electrical Engineer services without prior written consent from the Buyer. Any approved subcontractor shall be bound by the same terms and conditions as stated in this Purchase Order.
12. All intellectual property, design documents, drawings, and reports produced under this Purchase Order shall become the sole property of Kenya Nairobi Engineering & Infrastructure Solutions Ltd. upon full payment.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Electrical Engineer services in Kenya Nairobi.
