Ltd. for the engagement of a qualified Electrical Engineer to provide professional consulting, design, inspection, and commissioning services for the Kathmandu Valley Smart Grid Expansion Project. The Electrical Engineer shall perform all duties in accordance with the standards set by the Nepal Electricity Authority (NEA), the Department of Electricity (DoE), and the applicable codes of the International Electrotechnical Commission (IEC) as adopted in Nepal Kathmandu.

The Electrical Engineer is expected to work primarily at the project site located in the Baneshwor Industrial Area, Kathmandu, Nepal, and shall also attend coordination meetings at the buyer's office in New Road, Kathmandu, as required. All deliverables must comply with the regulatory framework governing electrical installations in Nepal Kathmandu.

• 30% advance payment (NPR 296,286) upon signing of this Purchase Order and submission of a valid NEA license copy.
• 40% milestone payment (NPR 395,048) upon completion of design deliverables (Items 1 & 2) and approval by the buyer's technical committee in Kathmandu.
• 30% final payment (NPR 296,286) upon successful commissioning, NEA certification, and submission of the final as-built report.
• All payments shall be made via bank transfer to the account of the Electrical Engineer's firm as specified in the annexure. Payment is due within 15 working days of invoice receipt.
• Any delay in payment beyond 15 working days shall attract interest at the rate of 1.5% per month as per Nepal's prevailing commercial lending norms.

• This Purchase Order is governed by the laws of the Kingdom of Nepal and shall be interpreted in accordance with the Contract Act, 2023 (Nepal) and applicable regulations of the Department of Electricity, Kathmandu.
• The Electrical Engineer shall maintain valid professional liability insurance of not less than NPR 10,000,000 for the duration of the engagement.
• All work shall be performed in compliance with NEA technical standards, IEC 60364, and local Kathmandu municipal electrical bylaws.
• The Electrical Engineer shall not subcontract any portion of the work without prior written consent from the buyer.
• Confidentiality: All project data, drawings, and operational information pertaining to the Kathmandu Valley Smart Grid project shall remain the exclusive property of the buyer. The Electrical Engineer agrees to a non-disclosure period of 5 years.
• Dispute resolution: Any dispute arising from this Purchase Order shall first be attempted to be resolved through mediation in Kathmandu, Nepal. If unresolved within 30 days, the matter shall be referred to the competent court in Kathmandu, Nepal.
• The Electrical Engineer shall adhere to all occupational health and safety regulations as enforced by the Department of Occupational Safety and Health (DOSH), Nepal, while working at the Baneshwor site.
• This Purchase Order becomes void if not accepted and signed by the Electrical Engineer within 14 calendar days of the issue date.

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Electrical Engineer for the services described herein, to be executed in and around Nepal Kathmandu.
