2. Scope of Work — Electrical Engineer Services
This Purchase Order is issued by Inversiones Eléctricas del Pacífico S.A.C. to formally request and authorize the procurement of professional services rendered by a qualified Electrical Engineer for the design, supervision, and technical oversight of the electrical infrastructure upgrade at the commercial complex located in the Callao district of Peru Lima. The Electrical Engineer shall be responsible for all aspects of the electrical systems, including but not limited to power distribution networks, grounding and lightning protection systems, low-voltage and high-voltage installations, electrical panel design, and compliance with the Peruvian National Electrical Code (Reglamento Nacional de Edificaciones — Norma E.070) as well as the standards established by OSINERGMIN (Organismo Supervisor de la Inversión en Energía y Minería) for the Lima metropolitan area.

4. Terms and Conditions
- This Purchase Order is governed by the Civil Code of Peru and the Commercial Code of Peru. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Lima, Peru.
- The Electrical Engineer assigned to this project must hold a valid professional license (Colegio de Ingenieros del Perú — CIP) and a minimum of ten (10) years of documented experience in commercial and industrial electrical projects within the Peru Lima region.
- All deliverables must comply with the current edition of the Reglamento Nacional de Edificaciones (RNE), Norma E.070 (Instalaciones Eléctricas), and all applicable regulations issued by OSINERGMIN and the Municipalidad Metropolitana de Lima.
- The Supplier shall provide a detailed project schedule within five (5) business days of the acceptance of this Purchase Order. Any delays exceeding ten (10) business days beyond the agreed timeline shall incur a penalty of 0.5% of the total contract value per day of delay.
- Payment shall be made via bank transfer to the account designated by the Supplier. Invoices must include the RUC number, IGV breakdown, and a reference to this Purchase Order number (PL-EE-2025-0047).
- The Supplier warrants that all services rendered by the Electrical Engineer shall be performed with professional diligence, in accordance with the highest standards of the electrical engineering profession in Peru Lima, and free from defects in design or execution.
- Confidentiality: All technical drawings, specifications, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential by both parties for a period of five (5) years from the date of project completion.
- This Purchase Order may be amended only by written agreement signed by authorized representatives of both parties. Verbal modifications shall have no legal effect.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Lima region, government-mandated shutdowns, or acts of war, provided that the affected party notifies the other within forty-eight (48) hours.
5. Acceptance and Authorization
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Electrical Engineer professional services in Peru Lima. This document constitutes a binding agreement between the parties upon execution.
