This Purchase Order is issued by SIBS S.A. to procure the professional services of a qualified Electrical Engineer and associated technical team for the design, review, and commissioning of the electrical infrastructure for the new commercial complex located in the Almadies district of Dakar, Senegal. The Electrical Engineer shall be responsible for all aspects of electrical system design in compliance with the Senegalese national electrical code (Norme Sénégalaise NS 32-010), the regulations of the Sénegal Electricity Company (SNE), and the International Electrotechnical Commission (IEC) standards as adopted in Senegal.
The scope of work for the Electrical Engineer includes, but is not limited to: preliminary load calculations, single-line diagram development, power distribution system design, lighting design for all floors, emergency and backup power generation planning, grounding and lightning protection systems, fire alarm and security electrical integration, and final commissioning and handover documentation. All deliverables must be produced in both French and English to satisfy the bilingual regulatory requirements of the Senegalese Ministry of Energy and Hydrocarbons.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal, including the Senegalese Civil Code, the Code des Marchés Publics et Privés, and all applicable regulations of the Dakar municipal authority. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Dakar, Senegal.
- Performance Period: The Electrical Engineer and associated team shall commence work no later than 1 July 2025 and shall complete all deliverables by 30 November 2025. All on-site work shall be conducted at the project location in Almadies, Dakar, Senegal, during standard business hours (08:00–17:00, Monday to Friday).
- Payment Schedule: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon completion and approval of the full electrical design package, and 30% upon successful commissioning and final handover. All payments shall be made via bank transfer to the supplier's account in Dakar, Senegal, in West African CFA Francs (XOF).
- Qualifications and Compliance: The lead Electrical Engineer must hold a minimum of a Master's degree in Electrical Engineering from a recognized institution, a valid professional license issued by the Ordre des Ingénieurs du Sénégal, and a minimum of ten (10) years of experience in commercial and industrial electrical projects in West Africa. All team members must possess valid work permits for Senegal.
- Insurance and Liability: The supplier shall maintain professional indemnity insurance with a minimum coverage of 50,000,000 XOF and third-party liability insurance throughout the duration of this Purchase Order. The supplier shall be liable for any defects in the electrical design that result in non-compliance with Senegalese electrical safety standards.
- Intellectual Property: All drawings, calculations, reports, and documentation produced under this Purchase Order shall become the exclusive property of SIBS S.A. upon full payment. The Electrical Engineer shall not reuse, reproduce, or disclose any project-specific information without prior written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, SIBS S.A. shall pay for all services rendered up to the termination date. In the event of termination for cause due to the Electrical Engineer's failure to meet the agreed milestones, the supplier shall refund any advance payments not yet earned.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Senegal, or civil unrest in the Dakar region, provided that the affected party notifies the other within five (5) business days.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical, financial, and commercial information exchanged in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Local Content and Labor: In accordance with Senegalese labor regulations, the supplier shall ensure that at least 70% of the on-site technical staff are Senegalese nationals. All employment relationships shall comply with the Senegalese Labor Code (Code du Travail du Sénégal).
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Electrical Engineer services in Senegal Dakar.
