3. Scope of Services – Electrical Engineer Engagement

This Purchase Order is issued by Mediterranean Infrastructure Solutions S.L. to formally engage the services of a qualified Electrical Engineer for the design, review, and commissioning oversight of the low-voltage and medium-voltage electrical distribution systems for the new commercial development located in the Eixample district of Spain Barcelona. The Electrical Engineer shall be responsible for all technical deliverables in strict compliance with the Spanish Low Voltage Regulation (Real Decreto 842/2002), the IEC 60364 series of standards, and all applicable municipal building codes enforced by the Ajuntament de Barcelona. All site inspections, coordination meetings, and technical sign-offs shall be conducted at the project site in Spain Barcelona unless otherwise agreed in writing.

5. Payment Terms

All payments under this Purchase Order shall be made in Euros (EUR) via bank transfer to the account designated by the Electrical Engineer. Payment schedule is as follows: 30% upon acceptance of this Purchase Order and commencement of design work; 40% upon delivery and approval of the complete design documentation package; 20% upon successful commissioning and issuance of the electrical installation certificate; and 10% upon completion of the 12-month warranty period. Invoices must reference this Purchase Order number (PO-2025-BCN-04872) and shall be payable within 30 calendar days of receipt. Late payments shall accrue interest at the rate established under Spanish Law 3/2004 on Late Payment in Commercial Transactions.

6. Terms and Conditions

1. This Purchase Order constitutes a binding agreement between the Buyer and the Electrical Engineer upon written acceptance. All services shall be performed in and around the project site located in Spain Barcelona, and the Electrical Engineer shall comply with all local, regional (Catalan), and national regulations applicable to electrical engineering practice in Spain.
2. The Electrical Engineer warrants that all design work shall be original, free from intellectual property infringement, and shall meet or exceed the technical standards referenced in Section 3. The Electrical Engineer shall carry professional indemnity insurance with a minimum coverage of EUR 1,000,000 per claim, valid throughout the duration of the contract and the 12-month warranty period.
3. The Electrical Engineer shall attend a minimum of two coordination meetings per month with the project architect, structural engineer, and main contractor at the project office in Spain Barcelona. Meeting minutes shall be shared within 48 hours.
4. Any variation to the scope of work must be agreed in writing via a formal Variation Order referencing this Purchase Order. No additional work shall be performed without prior written authorization from the Buyer's Procurement Manager.
5. The Electrical Engineer shall maintain full confidentiality regarding all project data, site plans, and commercial information. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Either party may terminate this Purchase Order with 30 days' written notice in the event of material breach. Upon termination, the Electrical Engineer shall be compensated for all work satisfactorily completed up to the date of termination, less any damages caused by the breach.
7. This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain, unless both parties agree in writing to submit the matter to arbitration under the rules of the Barcelona Arbitration Centre (CAC).
8. The Electrical Engineer shall ensure that all on-site activities in Spain Barcelona comply with the applicable occupational health and safety regulations (Real Decreto 1215/1997) and shall provide a valid "Seguro de Responsabilidad Civil" certificate prior to commencing any site work.
