This Purchase Order is issued by Siam Pacific Engineering & Infrastructure Co., Ltd. to formally engage the services of a qualified Electrical Engineer and associated technical team for the design, review, and commissioning of the electrical infrastructure for the Siam Pacific Commercial Tower Project located in Thailand Bangkok. The scope of work encompasses all electrical engineering disciplines including power distribution systems, low-voltage and high-voltage installations, lightning protection systems, fire alarm and emergency lighting systems, building management system (BMS) integration, and compliance with the Thai Electricity Generating Authority of Thailand (EGAT) regulations and the Building Control Act B.E. 2522 as amended.

The Electrical Engineer engaged under this Purchase Order shall hold a valid professional license issued by the Council of Engineers of Thailand (CET) and shall possess a minimum of fifteen (15) years of demonstrated experience in commercial and mixed-use building electrical design within the Thailand Bangkok metropolitan area. All deliverables must conform to the Thai Industrial Standards Institute (TISI) specifications and the International Electrotechnical Commission (IEC) standards as adopted in Thailand.

Payment for this Purchase Order shall be made in Thai Baht (THB) via bank transfer to the account designated by Bangkok Power Solutions & Consulting Ltd. The payment schedule is as follows: thirty percent (30%) upon execution of this Purchase Order; twenty-five percent (25%) upon approval of the detailed design package; twenty-five percent (25%) upon completion of construction documentation and BMA approval; and twenty percent (20%) upon successful commissioning and final handover. All invoices must reference Purchase Order number SPO-2025-04782. Payment terms are Net 30 days from the date of a valid invoice. Late payments shall accrue interest at the rate prescribed by the Thai Civil and Commercial Code.

All deliverables under this Purchase Order shall be executed at the project site located at 245 Phloen Chit Road, Lumphini, Pathum Wan, Thailand Bangkok 10330, or at the supplier's registered office as mutually agreed. The Electrical Engineer shall submit a detailed project schedule within ten (10) business days of this Purchase Order acceptance. Milestone dates are binding, and failure to meet agreed milestones without written approval from the Buyer shall result in liquidated damages of 0.1% of the total contract value per calendar day of delay, capped at 10% of the total contract value.

• 7.1 This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order shall be resolved through arbitration in Thailand Bangkok in accordance with the rules of the Thai Arbitration Institute.
• 7.2 The Electrical Engineer shall maintain professional indemnity insurance with a minimum coverage of THB 20,000,000 and public liability insurance of THB 10,000,000 for the duration of the engagement.
• 7.3 All intellectual property, design documents, calculations, and reports produced under this Purchase Order shall become the sole property of Siam Pacific Engineering & Infrastructure Co., Ltd. upon full payment.
• 7.4 The Electrical Engineer shall comply with all applicable Thai labor laws, occupational health and safety regulations, and environmental standards applicable to work performed in Thailand Bangkok.
• 7.5 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date.
• 7.6 The Electrical Engineer shall not subcontract any portion of the work without prior written consent from the Buyer. Any approved subcontractor shall be bound by the same terms as this Purchase Order.
• 7.7 All communications regarding this Purchase Order shall be in writing and directed to the contact persons listed in Sections 1 and 2 above.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of an Electrical Engineer for the Siam Pacific Commercial Tower Project in Thailand Bangkok. This Purchase Order becomes effective upon the date of the last signature below.
