1. Description of Services Procured

This Purchase Order is issued by Uganda Kampala Infrastructure Development Limited (hereinafter referred to as "the Purchaser") to Eng. David Okello Mutesa, a licensed and registered Electrical Engineer with the Engineers Board of Uganda (Registration No. EBU/EE/2019/0342), for the provision of professional electrical engineering consultancy services in connection with the Kampala East Power Grid Expansion Project. The scope of work encompasses the design, review, and technical supervision of high-voltage distribution infrastructure to be installed across the Kampala metropolitan area, specifically within the Nakawa, Mukono, and Wakiso districts of Uganda Kampala.

3. Payment Terms

Payment for the services rendered under this Purchase Order shall be made in Ugandan Shillings (UGX) via bank transfer to the account of the Electrical Engineer as follows: thirty percent (30%) upon execution of this Purchase Order and commencement of work; forty percent (40%) upon submission and approval of the interim design deliverables (Items 1 and 2); and the remaining thirty percent (30%) upon final acceptance of all deliverables and issuance of the commissioning certificate. All payments shall be processed within fourteen (14) calendar days of receipt of a valid invoice. Late payments shall attract interest at the rate of 1.5% per month as stipulated under the Uganda Public Procurement and Disposal of Public Assets Act, 2003 (as amended).

4. Terms and Conditions

The Electrical Engineer shall maintain valid professional indemnity insurance with a minimum cover of UGX 500,000,000 throughout the duration of this engagement and shall provide a certificate of insurance upon request.
All work shall be performed in strict compliance with the Uganda National Electrical Code, the Energy Act 2019, and all applicable regulations issued by the Energy and Petroleum Regulatory Authority (EPRB) of Uganda.
The Electrical Engineer shall be physically present at the project sites within Uganda Kampala for a minimum of five (5) working days per week during the on-site supervision phase.
Any variation in scope exceeding ten percent (10%) of the total contract value shall require a written amendment to this Purchase Order, signed by both parties, before additional work commences.
The Purchaser reserves the right to terminate this Purchase Order with thirty (30) days written notice in the event of material breach, gross negligence, or failure to meet the project timeline without reasonable cause.
All intellectual property, design documents, and technical data produced under this Purchase Order shall become the sole property of Uganda Kampala Infrastructure Development Limited upon full payment.
Disputes arising from this Purchase Order shall be resolved through mediation in Kampala, Uganda, in accordance with the Arbitration and Conciliation Act, 2000 of Uganda. The courts of Kampala shall have exclusive jurisdiction.
The Electrical Engineer shall comply with all health, safety, and environmental regulations applicable to electrical works in Uganda Kampala, including the Occupational Safety and Health Act, 2006.

5. Commencement and Completion

Work under this Purchase Order shall commence on or before 23 June 2025 and shall be completed no later than 15 November 2025. The Electrical Engineer shall submit a detailed work plan and schedule within seven (7) days of the commencement date. Time is of the essence, and any delay attributable to the service provider shall result in liquidated damages of UGX 500,000 per calendar day of delay, up to a maximum of ten percent (10%) of the total contract value.

6. Authorisation and Acceptance

This Purchase Order is issued in accordance with the internal procurement policies of Uganda Kampala Infrastructure Development Limited and the Public Procurement and Disposal of Public Assets Regulations, 2019. By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this document.
