This Purchase Order is issued by Midwest Infrastructure Solutions, LLC (hereinafter referred to as the "Buyer") to Great Lakes Electrical Engineering Group, Inc. (hereinafter referred to as the "Seller") for the professional services of a licensed Electrical Engineer to be performed within the city of Chicago, United States. The Seller shall assign a qualified, Illinois-licensed Professional Electrical Engineer (PE) to oversee, design, and supervise all electrical systems related to the Buyer's commercial redevelopment project located at 2200 West Fulton Market, Chicago, Illinois 60612, United States.
The scope of work for the Electrical Engineer includes, but is not limited to: (a) preparation of complete electrical design drawings and schematics in compliance with the National Electrical Code (NEC) 2023 and all applicable Chicago Department of Buildings regulations; (b) load calculations and power distribution planning for a 48,000 square-foot mixed-use commercial facility; (c) coordination with mechanical, structural, and architectural engineering disciplines; (d) preparation of permit applications and submittals to the City of Chicago; (e) on-site construction observation and inspection visits no fewer than twice per week during active construction phases; (f) commissioning and testing of all electrical systems prior to certificate of occupancy; and (g) delivery of as-built documentation and a final engineering report.

- This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Chicago, Illinois, United States.
- The Electrical Engineer assigned by the Seller must hold an active Professional Engineer (PE) license issued by the Illinois Department of Financial and Professional Regulation (IDFPR) and must maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence.
- All deliverables, including but not limited to design documents, calculations, reports, and as-built drawings, shall be the exclusive property of the Buyer upon full payment. The Seller grants the Buyer a perpetual, irrevocable license to use, reproduce, and modify all engineering deliverables.
- The Seller shall comply with all applicable federal, state, and local regulations, including but not limited to the Occupational Safety and Health Administration (OSHA) standards, the National Electrical Code (NEC), the International Building Code (IBC) as adopted by the City of Chicago, and all Chicago municipal ordinances governing electrical work.
- Time is of the essence. Failure to meet the project completion deadline of December 15, 2025, without written approval from the Buyer, shall result in a liquidated damages charge of $1,500 per calendar day of delay, up to a maximum of $30,000.
- The Buyer reserves the right to terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered and approved deliverables completed up to the date of termination.
- All invoices submitted under this Purchase Order must reference the Purchase Order number US-CHI-2025-04872 and shall be submitted to the Buyer's accounts payable department in Chicago, Illinois, United States, via electronic mail or certified mail.
- The Seller warrants that all work performed by the Electrical Engineer shall be of a professional standard consistent with the prevailing practices of the electrical engineering profession in the United States and shall be free from defects in design and execution.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements, whether written or oral.
