1. This Purchase Order constitutes a binding agreement between Integral Electrical Solutions C.A. and ProIngeniería Eléctrica C.A. for the provision of Electrical Engineer professional services in Venezuela Caracas. Both parties acknowledge that the Electrical Engineer assigned to this contract must hold a valid professional license (Cédula Profesional) issued by the Colegio de Ingenieros de Venezuela and must possess a minimum of ten (10) years of documented experience in industrial and commercial electrical systems.
2. The Electrical Engineer shall report directly to the Project Manager designated by the Buyer and shall comply with all applicable Venezuelan electrical codes, including the Código Eléctrico Nacional (CEN) and the regulations established by the Comisión Nacional de Energía (CNE) for the Venezuela Caracas metropolitan area.
3. Payment shall be made in accordance with the milestone schedule: 30% upon contract execution, 40% upon completion of design documentation, 20% upon successful commissioning, and 10% upon delivery of the final as-built documentation package. All payments shall be processed via bank transfer to the account designated by the Supplier in Venezuela Caracas.
4. The Supplier guarantees that the Electrical Engineer shall maintain full professional liability insurance coverage throughout the duration of the engagement. Any defects in the engineering work discovered within the twelve-month warranty period shall be rectified at no additional cost to the Buyer.
5. This Purchase Order is governed by the commercial laws of the Bolivarian Republic of Venezuela. Any disputes arising from the interpretation or execution of this document shall be resolved through arbitration in Venezuela Caracas, in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
6. The Supplier shall not subcontract any portion of the Electrical Engineer services without prior written authorization from the Buyer. All intellectual property generated under this Purchase Order, including design drawings, calculations, and technical reports, shall remain the exclusive property of Integral Electrical Solutions C.A.
IMPORTANT NOTES: This Purchase Order is valid for a period of thirty (30) calendar days from the date of issue. The Supplier must confirm acceptance in writing within five (5) business days. All site access in Venezuela Caracas shall be coordinated through the Buyer's security office at least 48 hours in advance. The Electrical Engineer must present valid identification and professional credentials upon arrival at the project site. This document is issued in two (2) original copies, one for each party.
