3. Scope of Purchase Order – Electrical Engineer Services & Equipment

This Purchase Order is issued by Harare Infrastructure Development Corporation to ZimVolt Electrical Engineering Solutions (Pvt) Ltd for the provision of professional Electrical Engineer services and associated electrical equipment for the Harare Municipal Power Distribution Upgrade Project, located in the city of Zimbabwe Harare. The Electrical Engineer shall be responsible for the design, supervision, commissioning, and quality assurance of all electrical infrastructure works as specified herein. All services and materials must comply with the Zimbabwe National Standards (ZS), the Electricity Act of Zimbabwe, and the regulations set forth by the Zimbabwe Energy Regulatory Authority (ZERA).

5. Terms and Conditions

Delivery & Commencement: All services under this Purchase Order shall commence within fourteen (14) calendar days of the date of issue. The Electrical Engineer shall report to the HIDC project site in Borrowdale, Harare, Zimbabwe, no later than 28 June 2025.
Payment Schedule: Payment shall be made in three (3) equal instalments: 30% upon signing of this Purchase Order, 40% upon completion of the design and procurement phase, and 30% upon final commissioning and handover. All payments shall be made via bank transfer to the supplier's designated account in Harare, Zimbabwe.
Quality & Compliance: The Electrical Engineer shall ensure that all work complies with the Zimbabwe National Standards (ZS 101, ZS 102), the Electricity Act [Chapter 13:14], and all applicable ZERA regulations. Non-compliant work shall be rectified at the supplier's own cost.
Warranty: All supplied equipment carries a minimum warranty period of twenty-four (24) months from the date of commissioning. The Electrical Engineer's design work carries a professional indemnity warranty of five (5) years.
Insurance & Liability: The supplier shall maintain comprehensive professional indemnity insurance of not less than USD 500,000 and public liability insurance of not less than USD 250,000 throughout the duration of this Purchase Order. The Electrical Engineer shall be fully liable for any damage to property or injury to persons arising from negligence in the performance of duties.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Electrical Engineer shall be compensated for all work completed and materials procured up to the date of termination.
Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mediation in Harare, Zimbabwe. Should mediation fail, the matter shall be referred to arbitration under the Arbitration Act of Zimbabwe [Chapter 7:15]. The courts of Zimbabwe shall have exclusive jurisdiction.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or national emergencies in Zimbabwe.
Confidentiality: All technical drawings, load calculations, and proprietary information exchanged under this Purchase Order shall remain confidential and shall not be disclosed to third parties without written consent.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe.

6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Electrical Engineer and procurement of associated services and equipment in Zimbabwe Harare.
