2. SCOPE OF WORK – ELECTRICIAN SERVICES IN BRAZIL SÃO PAULOThis Purchase Order is issued by Construtora Horizonte Ltda. to EletroPaulo Serviços Elétricos ME for the execution of comprehensive Electrician services at the commercial building located in Brazil São Paulo. The Electrician and his qualified team shall perform all electrical installations, inspections, and maintenance work in strict compliance with the Brazilian National Electrical Installation Standard (NBR 5410), the regulations of the São Paulo State Energy Company (Enel Distribuição São Paulo), and all applicable municipal building codes of the city of São Paulo, Brazil. The Electrician is responsible for ensuring that all work meets the safety and quality standards required by the Brazilian electrical regulatory framework.

The Electrician shall commence work on June 23, 2025, and all Electrician services described in this Purchase Order must be completed no later than August 15, 2025. The Electrician is expected to maintain a minimum crew of four (4) qualified electricians on-site during working hours (Monday through Friday, 07:00 to 17:00) at the project site in Brazil São Paulo. Any delays caused by the Electrician beyond the agreed timeline shall be subject to a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
5. PAYMENT TERMSPayment for this Purchase Order shall be made in three (3) installments via bank transfer (TED/PIX) to the account of EletroPaulo Serviços Elétricos ME, as follows:

- Compliance: The Electrician shall perform all work in accordance with NBR 5410, NBR 5419 (lightning protection), and all regulations issued by the São Paulo municipal government and the state of São Paulo, Brazil. The Electrician must hold a valid professional registration with the CREA-SP (Conselho Regional de Engenharia e Agronomia – São Paulo).
- Insurance: The Electrician shall maintain comprehensive liability insurance and workers' compensation coverage (CNPJ-registered) for the entire duration of the contract. Proof of insurance shall be provided prior to commencement of work.
- Materials: All electrical materials (cables, conduits, panels, fixtures) shall be new, of recognized Brazilian or international brands, and shall carry the INMETRO certification mark as required by Brazilian law.
- Warranty: The Electrician provides a warranty of twenty-four (24) months on all labor and workmanship performed under this Purchase Order. Any defects discovered within the warranty period shall be corrected by the Electrician at no additional cost to the Purchaser.
- Health and Safety: The Electrician shall enforce all occupational health and safety protocols (NR-10 – Electrical Safety in Work) on the job site in Brazil São Paulo. The Electrician is solely responsible for the safety of his employees and subcontractors.
- Intellectual Property: All as-built drawings, electrical schematics, and technical reports produced by the Electrician under this Purchase Order shall become the property of Construtora Horizonte Ltda. upon final payment.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the courts of the city of São Paulo, State of São Paulo, Brazil, in accordance with Brazilian civil law (Código Civil Brasileiro).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in São Paulo, or pandemics, as defined under Brazilian law.
- Subcontracting: The Electrician shall not subcontract any portion of the work described in this Purchase Order without prior written consent from the Purchaser. Any approved subcontractor shall be bound by the same terms and conditions.
- Validity: This Purchase Order is valid for thirty (30) days from the date of issue. If not accepted and signed by the Electrician within this period, the Purchase Order shall be considered void and may be reissued.
