This Purchase Order is issued by Abay Commercial & Industrial Holdings PLC to Lightning Electrical Services & Engineering LLC, a licensed Electrician firm operating in Ethiopia Addis Ababa, for the comprehensive design, installation, testing, and commissioning of electrical systems at the Abay Tower premises. The Electrician shall perform all work in strict compliance with the Ethiopian National Electrical Code, the standards set forth by the Ethiopian Electric Utility (EEU), and the building regulations of the Addis Ababa City Administration. All materials, labour, tools, and supervision required to fulfil the scope described below shall be provided by the Electrician at no additional cost to the Buyer unless a formal change order is executed in writing.

3.1 Compliance. The Electrician warrants that all work performed under this Purchase Order shall conform to the Ethiopian National Electrical Code, IEC standards as adopted in Ethiopia Addis Ababa, and the specific technical specifications attached to this document. The Electrician shall hold a valid electrical contractor’s licence issued by the Addis Ababa City Administration and shall maintain adequate professional indemnity insurance throughout the project duration.
3.2 Schedule. The Electrician shall mobilise on-site no later than 20 June 2025 and shall complete all installation, testing, and commissioning activities by 30 July 2025. Any delay attributable to the Electrician shall incur a liquidated-damage charge of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
3.3 Payment. Payment shall be made in two instalments: 40% (ETB 1,012,736.00) upon verified commencement and delivery of major materials to the Addis Ababa site, and 60% (ETB 1,519,104.00) upon successful completion, EEU inspection sign-off, and submission of all as-built documentation. Payment shall be made via bank transfer to the Electrician’s designated account at Commercial Bank of Ethiopia, Addis Ababa branch, within thirty (30) calendar days of the Buyer’s receipt of a valid tax invoice.
3.4 Warranty. The Electrician shall provide a minimum twelve-month warranty on all labour and workmanship, and the manufacturer’s standard warranty on all supplied materials. Any defects discovered within the warranty period shall be rectified by the Electrician at its own cost within fourteen (14) days of written notice from the Buyer.
3.5 Health, Safety, and Environment. The Electrician shall comply with all occupational health and safety regulations in force in Ethiopia, including those promulgated by the Ministry of Labour and Social Affairs. All Electrician personnel working on-site in Addis Ababa shall wear appropriate personal protective equipment (PPE) and shall not be permitted to perform live electrical work without a valid permit-to-work issued by the Buyer’s site supervisor.
3.6 Governing Law. This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Any disputes arising from or in connection with this Purchase Order shall be resolved through the Addis Ababa City Commercial Court, and the parties agree that the seat of jurisdiction is Addis Ababa, Ethiopia.
3.7 Change Orders. No modification to the scope, schedule, or pricing of this Purchase Order shall be valid unless documented in a written change order signed by both the Buyer’s authorised representative and the Electrician’s principal.
Note: This Purchase Order is subject to the prior approval of the Ethiopian Electric Utility (EEU) Addis Ababa regional office for all new electrical connections and load increases. The Electrician is responsible for obtaining all necessary permits, inspections, and EEU sign-offs at its own cost.
