This Purchase Order is issued by Berliner Energie- und Gebäudetechnik GmbH to Elektro Meister Berlin GmbH for the provision of comprehensive professional Electrician services at the following project site located in Germany Berlin. The Electrician contractor shall commence work on 1 July 2025 and shall complete all services described in this Purchase Order no later than 30 September 2025. All work shall be performed at the project site in Germany Berlin during standard working hours (Monday to Friday, 07:00 to 17:00 CET), unless otherwise agreed in writing. The Electrician shall coordinate all access, scaffolding, and temporary power requirements with the site management of the Purchaser. Any delays attributable to the Electrician shall be subject to a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10% of the total value.
Payment shall be made in accordance with the following milestone schedule. All invoices must reference this Purchase Order number (PO-2025-BER-04782) and shall be submitted to the Purchaser's accounts payable department. Payment shall be made via SEPA bank transfer to the account designated by the Electrician contractor within 30 days of receipt of a valid invoice. A 2% early-payment discount (Skonto) shall apply if payment is received within 10 days of the invoice date. The Purchaser reserves the right to withhold payment for any work found to be non-compliant with the specifications in this Purchase Order or with applicable German electrical safety regulations.

- Compliance with German Law: All Electrician services rendered under this Purchase Order shall comply with the German Civil Code (BGB), the German Commercial Code (HGB), the Electrical Installation Ordinance (VDE), DIN VDE 0100, DIN VDE 0108, the Berlin Building Code (BauO Bln), and all relevant provisions of the German Occupational Safety and Health Act (ArbSchG).
- Qualification of Electrician Personnel: The Electrician contractor shall ensure that all personnel assigned to this project in Germany Berlin hold valid German electrician qualifications (Elektroniker für Energie- und Gebäudetechnik) and are registered with the relevant chamber of crafts (Handwerkskammer Berlin). The site supervisor shall hold a Meisterbrief (master craftsman certificate).
- Insurance and Liability: The Electrician contractor shall maintain comprehensive professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of EUR 5,000,000 per claim, as well as statutory accident insurance (gesetzliche Unfallversicherung) for all workers. The Electrician shall indemnify and hold harmless the Purchaser against any claims arising from defective workmanship or non-compliance.
- Warranty: The Electrician contractor grants a warranty of five (5) years on all workmanship and two (2) years on all supplied materials, in accordance with Section 634a of the German Civil Code (BGB). The warranty period commences on the date of final acceptance (Abnahme) by the Purchaser.
- Health, Safety, and Environmental Compliance: The Electrician shall adhere to all site-specific safety plans, the German Occupational Safety and Health Act, and the Berlin Environmental Protection regulations. All hazardous materials handling, waste disposal, and noise control shall comply with applicable German and Berlin municipal regulations.
- Subcontracting: The Electrician contractor shall not subcontract any portion of the work described in this Purchase Order without prior written consent from the Purchaser. Any approved subcontractor shall be bound by the same terms and conditions as the Electrician contractor.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation in good faith. If unresolved within 30 days, the dispute shall be submitted to the competent court in Berlin, Germany. The German language shall be the governing language for all legal proceedings. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical drawings, specifications, pricing, and business information exchanged in connection with this Purchase Order. This obligation shall survive termination for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice in the event of a material breach by the other party that remains uncured after a 14-day written notice to remedy. In the event of termination, the Electrician shall be compensated for work completed and accepted up to the date of termination.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, war, terrorism, government-mandated shutdowns, or pandemics, provided that the affected party notifies the other in writing within 5 business days.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Electrician services to be performed in Germany Berlin. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements.
