1. Description of Purchase OrderThis Purchase Order is issued by Corporación Eléctrica del Caribe, C.A., a registered corporate entity operating in Venezuela Caracas, to formally request and authorize the procurement of professional Electrician services for the comprehensive electrical infrastructure upgrade, maintenance, and safety compliance inspection of the company's headquarters and three (3) satellite offices located within the metropolitan area of Venezuela Caracas. - Payment Schedule: 40% advance payment upon acceptance of this Purchase Order; 40% upon completion of 70% of the scope of work; 20% upon final delivery, inspection, and sign-off by the purchasing party's engineering team.
- Payment Method: Wire transfer to the supplier's designated bank account in Venezuela Caracas. All transactions shall be processed in United States Dollars (USD) as agreed upon by both parties, in compliance with the Central Bank of Venezuela (BCV) foreign exchange regulations.
- Payment Due Date: Net 30 days from the date of invoice issuance for each milestone payment.
- Late Payment Penalty: A penalty of 1.5% per month shall apply to any overdue balance, calculated from the due date until full settlement.
- Tax Considerations: All applicable Venezuelan taxes, including IVA (16%) and any municipal levies imposed by the Alcaldía of Venezuela Caracas, shall be included in the quoted prices unless otherwise stated in writing.
- Project Start Date: July 1, 2025

- Working Hours: The Electrician and his team shall perform all work between 07:00 and 18:00, Monday through Friday, unless emergency conditions require after-hours intervention as specified in Line Item 07.
- Access to Premises: The purchasing party shall provide full access to all facilities in Venezuela Caracas during the agreed working hours. The Electrician shall coordinate with building management at least 48 hours in advance for any work requiring shutdown of electrical systems.
- The Electrician service provider shall hold a valid professional license issued by the Venezuelan Ministry of Power and the Colegio de Ingenieros Eléctricos de Venezuela. A copy of the license shall be attached to this Purchase Order as Annex A.
- All materials, components, and equipment installed shall be new, of commercial grade, and compliant with the electrical codes and standards enforced in Venezuela Caracas by the Comisión Nacional de Energía (CNE).
- The Electrician shall provide a minimum two-year warranty on all labor and workmanship, and shall honor all manufacturer warranties on installed equipment.
- A final inspection and certification report shall be submitted to the purchasing party upon project completion, confirming full compliance with all applicable Venezuelan electrical safety regulations.
- The Electrician service provider shall maintain comprehensive general liability insurance with a minimum coverage of USD 500,000 per occurrence, valid throughout the duration of this Purchase Order and for a period of twelve (12) months thereafter.
- The supplier shall indemnify and hold harmless the purchasing party from any claims, damages, or liabilities arising from the Electrician's negligence, workmanship defects, or violation of Venezuelan labor and safety laws in Venezuela Caracas.
- All personnel assigned to this project shall be covered under the supplier's employer's liability insurance and shall comply with all occupational health and safety regulations in force in Venezuela.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination by the purchasing party, the Electrician shall be compensated for all work completed and materials procured up to the date of termination.
- Immediate termination shall be at the sole discretion of the purchasing party if the Electrician fails to meet safety standards, abandons the project, or engages in fraudulent conduct.
This Purchase Order shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela, including the Venezuelan Commercial Code and all applicable municipal regulations of Venezuela Caracas. Any disputes arising from this agreement shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to binding arbitration before the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas, Venezuela Caracas.
