- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, specifically the Argentine Civil and Commercial Code (Código Civil y Comercial de la Nación, Law 26.994) and applicable regulations of the city of Buenos Aires, Argentina.
- Scope of Work: The Electronics Engineer, Ing. Marcos R. Fernández, agrees to perform all professional engineering services as described in the line items above. All work shall comply with the professional standards established by the Colegio de Ingenieros de la Provincia de Buenos Aires and the Registro Nacional de Ingenieros.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt via bank transfer to the vendor's account in Buenos Aires, Argentina. Invoices must include the CUIT number and be issued in accordance with the Argentine Federal Administration of Public Revenue (AFIP) electronic invoicing system (Sistema de Facturación Electrónica).
- Delivery and Acceptance: All deliverables, including PCB prototypes, documentation, and components, shall be delivered to the Tecnosur Electronics S.A. facility at Av. Corrientes 2340, Buenos Aires, Argentina. Acceptance shall be confirmed in writing within ten (10) business days of delivery. Failure to respond within this period shall constitute deemed acceptance.
- Intellectual Property: All designs, schematics, and documentation created by the Electronics Engineer under this Purchase Order shall become the exclusive property of Tecnosur Electronics S.A. upon full payment. The Electronics Engineer retains the right to reference the project in professional portfolios with prior written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and business information exchanged in connection with this Purchase Order. This obligation shall survive the termination of this agreement for a period of three (3) years.
- Warranty: The Electronics Engineer warrants that all professional services shall be performed in a competent and professional manner, in accordance with the standards of the electronics engineering profession in Argentina. The Electronics Engineer shall be liable for any defects in design or workmanship discovered within the warranty period.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Electronics Engineer shall be compensated for all work completed and materials procured up to the date of termination.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through binding arbitration in Buenos Aires, Argentina, in accordance with the rules of the Argentine Chamber of Commerce (Cámara de Comercio de Buenos Aires). The language of arbitration shall be Spanish.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or supply chain disruptions affecting the Buenos Aires, Argentina region.
- Compliance: The Electronics Engineer certifies that all services and components supplied under this Purchase Order comply with applicable Argentine regulations, including those issued by ENRE (Ente Nacional Regulador de la Electricidad) and the Ministry of Production and Work of the Nation.
