This Purchase Order is issued by Meridian Technical Solutions Pty Ltd (hereinafter referred to as the "Purchaser") to Apex Electronics Consulting Group (hereinafter referred to as the "Supplier") for the engagement of a qualified Electronics Engineer to provide specialised technical services at the Purchaser's primary facility located in Australia Brisbane. This Purchase Order governs all terms, conditions, deliverables, and payment arrangements associated with the professional services rendered by the Electronics Engineer throughout the contracted period.
The Electronics Engineer engaged under this Purchase Order shall perform the following duties and responsibilities at the Purchaser's premises in Australia Brisbane:
- Design, development, and testing of printed circuit board (PCB) assemblies for industrial automation systems.
- Conducting fault diagnosis and corrective maintenance on existing electronic control units housed within the Australia Brisbane manufacturing plant.
- Preparing technical documentation, schematics, and Bill of Materials (BOM) in compliance with Australian Standards AS/NZS 3000 and relevant IEC regulations.
- Supervising and mentoring junior technical staff on signal integrity analysis, power supply design, and electromagnetic compatibility (EMC) testing.
- Collaborating with the Purchaser's project management team to ensure all Electronics Engineer deliverables meet the agreed project milestones and quality benchmarks.
- Providing weekly progress reports to the Purchaser's Operations Director based in Australia Brisbane.

The Electronics Engineer shall commence services on 1 July 2025 and complete all deliverables no later than 30 September 2025. All work shall be performed at the Purchaser's facility located at 2200 Ipswich Road, Archerfield, Australia Brisbane, QLD 4005, unless otherwise directed in writing by the Purchaser. The Supplier acknowledges that this Purchase Order is subject to the Purchaser's site safety induction requirements, which the Electronics Engineer must complete prior to commencing any on-site activity in Australia Brisbane.
- Payment shall be made in three (3) equal monthly instalments of $30,052.00 (inclusive of GST), due on the 28th of each month commencing 28 July 2025.
- All payments shall be made via Electronic Funds Transfer (EFT) to the Supplier's nominated bank account in Australia.
- The Supplier must submit a valid Australian Tax File Number (TFN) and Goods and Services Tax (GST) registration certificate prior to the first payment under this Purchase Order.
- Late payments shall attract interest at the rate prescribed under the Australian Consumer Law (ACL), calculated daily from the due date until the date of payment.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the State of Queensland, Australia.
- The Electronics Engineer shall maintain all professional indemnity insurance with a minimum cover of AUD $10,000,000 and public liability insurance of AUD $20,000,000 for the duration of the engagement in Australia Brisbane.
- All intellectual property, designs, schematics, and documentation produced by the Electronics Engineer under this Purchase Order shall vest exclusively in the Purchaser upon full payment.
- The Supplier warrants that the Electronics Engineer holds a minimum of a Bachelor of Engineering (Electrical/Electronic) degree from an Australian accredited institution and is registered with Engineers Australia.
- Either party may terminate this Purchase Order with fourteen (14) days' written notice. Upon termination, the Purchaser shall pay for all services rendered up to the date of termination.
- Any disputes arising from this Purchase Order shall be resolved through mediation in Australia Brisbane before proceeding to the Queensland Courts.
- The Supplier shall comply with all applicable Australian workplace health and safety legislation, including the Work Health and Safety Act 2011 (Qld).
By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Electronics Engineer in Australia Brisbane.
