This Purchase Order is issued by Meridian Technology Solutions Pty Ltd (hereinafter referred to as "the Purchaser") to VoltEdge Engineering Services (hereinafter referred to as "the Supplier") for the engagement of a qualified Electronics Engineer to provide specialised technical services at the Purchaser's primary operations facility located in Australia Melbourne. This Purchase Order governs the scope of work, deliverables, compensation, and all associated terms and conditions for the professional services to be rendered in the metropolitan region of Melbourne, Victoria, Australia.

The Purchaser requires the services of a senior-level Electronics Engineer to lead and execute a critical product development programme involving the design, prototyping, and validation of next-generation embedded control systems. The Electronics Engineer will be based at the Purchaser's Melbourne headquarters and will report directly to the Chief Technology Officer. All work associated with this Purchase Order shall be conducted in accordance with Australian Standards (AS/NZS), the Electrical and Electronics Engineers Australia (EA) Code of Conduct, and all applicable Victorian and Commonwealth regulatory frameworks.

The Electronics Engineer engaged under this Purchase Order must satisfy the following minimum qualifications and professional requirements:

A minimum of a Bachelor of Engineering (Electrical/Electronic) degree from an Australian or internationally recognised institution, or equivalent qualification recognised by Engineers Australia.
Professional Engineer (PE) or Chartered Engineer (CEng) status with Engineers Australia, or a minimum of eight (8) years of progressive experience in electronics design and development.
Demonstrated expertise in mixed-signal PCB design, FPGA-based systems, power electronics, and RF/microwave circuit design.
Proficiency in industry-standard EDA tools including Altium Designer, Cadence OrCAD, and MATLAB/Simulink.
Working knowledge of Australian electrical safety standards (AS/NZS 3000, AS/NZS 3014) and electromagnetic compatibility regulations applicable in the Melbourne, Victoria jurisdiction.
Valid Australian working rights and a current National Police Check (Victoria) as a condition of site access in Melbourne.

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Victoria, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia Melbourne.
Intellectual Property: All work product, designs, schematics, firmware code, and documentation created by the Electronics Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of Meridian Technology Solutions Pty Ltd. The Supplier warrants that no third-party intellectual property rights shall be infringed.
Confidentiality: The Electronics Engineer and the Supplier shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data disclosed by the Purchaser. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice, in accordance with the Australian Taxation Office (ATO) requirements. All payments shall be made via electronic funds transfer (EFT) to the Supplier's nominated Australian bank account.
Performance and KPIs: The Electronics Engineer shall be assessed against key performance indicators including design milestone completion, defect rate in prototype builds, and adherence to the project schedule. Failure to meet agreed KPIs for two consecutive review periods may result in termination of this Purchase Order with thirty (30) days' written notice.
Insurance: The Supplier shall maintain, at its own cost, a minimum of $20,000,000 in public liability insurance and $10,000,000 in professional indemnity insurance, with Meridian Technology Solutions Pty Ltd named as an additional insured party. Certificates of insurance shall be provided prior to commencement of work in Melbourne.
Work Health and Safety: All work performed at the Melbourne facility shall comply with the Occupational Health and Safety Act 2004 (Victoria) and the Work Health and Safety Regulations 2017 (Victoria). The Electronics Engineer shall complete all mandatory site induction and safety training prior to commencing on-site duties.
Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall deliver all work-in-progress and completed deliverables to the Purchaser within fourteen (14) days.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Melbourne metropolitan area, government-imposed restrictions, or pandemics, provided that the affected party notifies the other within five (5) business days.
Compliance: The Supplier and the Electronics Engineer shall comply with all applicable Australian and Victorian legislation, including the Fair Work Act 2009 (Cth), the Privacy Act 1988 (Cth), and the Competition and Consumer Act 2010 (Cth).

Note: This Purchase Order is subject to the Supplier's acceptance and countersignature. The Supplier acknowledges that all services described herein will be performed at the Purchaser's facility in Melbourne, Victoria, Australia, and that the Electronics Engineer will be required to be physically present at the Melbourne site for a minimum of four (4) days per week, with the remaining time allocated to remote work as approved by the Purchaser's project management team.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Electronics Engineer in Australia Melbourne.
