This Purchase Order authorizes the engagement of a qualified Electronics Engineer to provide specialized technical services for the design, prototyping, and validation of embedded electronic systems for an industrial automation project located in Brazil São Paulo. 4.1 – Validity: This Purchase Order is valid for a period of thirty (30) calendar days from the date of issue. The Electronics Engineer must confirm acceptance in writing within ten (10) business days to proceed with the engagement.
4.2 – Payment Terms: Payment shall be made in three (3) installments via bank transfer (TED/PIX) to the account designated by the Electronics Engineer. The first installment (40%) is due upon contract signing, the second (40%) upon delivery of the prototype and test reports, and the final installment (20%) upon completion of on-site commissioning in Brazil São Paulo. All payments are subject to the presentation of a valid Nota Fiscal (NF-e) issued in accordance with Brazilian tax regulations.
4.3 – Timeline: The Electronics Engineer shall complete all deliverables within a maximum of ninety (90) calendar days from the date of this Purchase Order's acceptance. Any delay exceeding fifteen (15) business days without prior written justification may result in a penalty of 0.5% of the total Purchase Order value per day of delay.
4.4 – Intellectual Property: All designs, schematics, code, and documentation produced by the Electronics Engineer under this Purchase Order shall become the exclusive property of TechNova Solutions Brasil Ltda. upon full payment. The Electronics Engineer retains the right to reference the project in professional portfolios with prior written consent.
4.5 – Compliance: The Electronics Engineer warrants that all work shall comply with the applicable standards of the Associação Brasileira de Normas Técnicas (ABNT), the ANATEL regulations for electronic equipment, and all municipal and state regulations governing electronic engineering practice in the state of São Paulo, Brazil.
4.6 – Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Electronics Engineer shall be compensated for all work completed and documented up to the termination date, as verified by the Buyer's project manager.
4.7 – Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Federative Republic of Brazil (Lei nº 10.406/2002) and the Consumer Protection Code where applicable. Any disputes shall be resolved in the courts of the city of São Paulo, State of São Paulo, Brazil.
NOTE: The Electronics Engineer must maintain valid professional registration with the Conselho Regional de Engenharia e Agronomia do Estado de São Paulo (CREA-SP) throughout the duration of this Purchase Order. Proof of registration and professional liability insurance (minimum coverage of R$ 500,000.00) must be submitted prior to commencement of work. All on-site activities in Brazil São Paulo must comply with the company's occupational health and safety (OHS) protocols. 5.
