TERMS AND CONDITIONS
- This Purchase Order (PO-2025-04871) constitutes a binding agreement between Technova Engineering Solutions Inc. (hereinafter "Buyer") and Precision Circuit Design & Consulting Ltd. (hereinafter "Vendor") for the provision of Electronics Engineer professional services and associated materials as described herein.
- All work performed under this Purchase Order shall be carried out in accordance with the professional standards of the Ontario Association of Engineers (OAEng) and the applicable regulations of the Province of Ontario, Canada. The assigned Electronics Engineer must hold a valid Professional Engineer (P.Eng.) license or be supervised by one.
- Payment Terms: Net 30 days from receipt of a valid tax invoice. Invoices must include the Vendor's Business Number (BN) and HST registration number as required by the Canada Revenue Agency (CRA). Payment shall be made via Electronic Funds Transfer (EFT) to the bank account specified above.
- Delivery / Completion: All deliverables, including design files, simulation reports, firmware source code, and prototype units, must be delivered to the Buyer's facility at 227 King Street West, Toronto, Canada, or transmitted electronically via the Buyer's secure project portal no later than December 15, 2025.
- Intellectual Property: All work product, designs, schematics, firmware, and documentation created under this Purchase Order shall be the sole and exclusive property of Technova Engineering Solutions Inc. upon full payment. The Vendor grants no license or right to reuse, reproduce, or disclose any portion of the deliverables to third parties without prior written consent.
- Confidentiality: The Vendor and the assigned Electronics Engineer agree to maintain strict confidentiality of all proprietary information, trade secrets, and technical data accessed during the course of this engagement. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Compliance: The Vendor warrants that all services and materials provided shall comply with applicable Canadian federal and provincial regulations, including but not limited to the Electrical and Electronic Equipment (EEE) regulations, Health Canada Medical Device Regulations (SOR/98-282), and the Ontario Occupational Health and Safety Act.
- Warranty: The Vendor provides a twelve (12) month warranty on all design deliverables and prototype units from the date of acceptance. Any defects in workmanship or design errors discovered within this period shall be corrected at no additional cost to the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Toronto, Canada, in accordance with the rules of the Arbitration Institute of the Ontario Bar Association.
- This Purchase Order is subject to the Buyer's standard Terms and Conditions of Purchase, which are incorporated herein by reference. In the event of a conflict between the terms of this document and the Buyer's standard terms, the terms of this Purchase Order shall prevail.
