1. SCOPE OF ENGAGEMENT – ELECTRONICS ENGINEER SERVICES

This Purchase Order is issued by Northwest Pacific Technologies Inc. (hereinafter referred to as the "Buyer") to Precision Circuit Engineering Ltd. (hereinafter referred to as the "Vendor") for the professional services of a qualified Electronics Engineer to be performed in Canada Vancouver, British Columbia. The Electronics Engineer shall provide comprehensive design, development, testing, and validation services for the Buyer's next-generation embedded control systems. All work shall be conducted in accordance with the Canadian Electrical Code (CEC), applicable British Columbia provincial regulations, and industry standards including IPC-A-610 and IEC 61508. The Electronics Engineer is expected to maintain a valid Professional Engineer (P.Eng) designation registered with the Engineering and Geoscience BC (EGBC) regulatory body throughout the duration of this engagement.

3. TERMS AND CONDITIONS
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through arbitration in Vancouver, British Columbia, Canada, in accordance with the BC Arbitration Act.
  2. Professional Qualification: The Vendor warrants that the assigned Electronics Engineer holds a valid P.Eng designation with Engineering and Geoscience BC and possesses a minimum of eight (8) years of progressive experience in embedded systems design, PCB layout, and firmware development. A copy of the professional license shall be provided prior to commencement of work.
  3. Intellectual Property: All designs, schematics, firmware code, documentation, and deliverables produced under this Purchase Order shall be the sole and exclusive property of Northwest Pacific Technologies Inc. The Electronics Engineer and the Vendor hereby assign all intellectual property rights to the Buyer upon full payment.
  4. Confidentiality: The Electronics Engineer shall adhere to strict confidentiality obligations as outlined in the separate Non-Disclosure Agreement (NDA-2025-009) executed concurrently with this Purchase Order. All proprietary information pertaining to the Buyer's products, processes, and business operations shall remain confidential for a period of five (5) years following project completion.
  5. Work Location: All on-site activities shall be performed at the Buyer's facility located in Canada Vancouver, British Columbia. Remote work may be conducted from the Vendor's office in Vancouver, BC, subject to the Buyer's cybersecurity and data protection policies compliant with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA).
  6. Payment Schedule: Payment shall be made within thirty (30) days of receipt of a valid invoice. A 20% mobilization payment is due upon acceptance of this Purchase Order. The remaining 80% shall be invoiced in two equal installments: 50% upon delivery of the prototype and 50% upon final acceptance and sign-off of all deliverables.
  7. Warranty: The Vendor warrants that all services performed by the Electronics Engineer shall be free from defects in workmanship and design for a period of twelve (12) months from the date of final acceptance. Any defects discovered within this warranty period shall be corrected at no additional cost to the Buyer.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the date of termination, less any applicable credits.
  9. Insurance: The Vendor shall maintain professional liability insurance with a minimum coverage of $2,000,000 CAD and workers' compensation insurance as required by the Workers' Compensation Board of British Columbia (WCB BC) for the duration of this engagement.
  10. Compliance: All work shall comply with the Canada Labour Code, the BC Employment Standards Act, and applicable municipal bylaws of the City of Vancouver. The Electronics Engineer shall adhere to all site safety protocols and personal protective equipment (PPE) requirements at the Buyer's facility.
NOTE: This Purchase Order is subject to the Buyer's internal procurement policy and requires approval from the VP of Engineering and the Chief Financial Officer prior to execution. All communications regarding this Purchase Order shall be directed to the Buyer's Procurement Department in Vancouver, BC.
