1. SCOPE OF WORK — ELECTRONICS ENGINEER SERVICES IN COLOMBIA, MEDELLÍNThis Purchase Order is issued by Andes Technology Solutions S.A.S. to formally engage the professional services of a qualified Electronics Engineer for the design, development, testing, and commissioning of embedded electronic systems for our manufacturing facility located in Colombia, Medellín, Antioquia. The Electronics Engineer shall be responsible for the complete technical lifecycle of the project, including circuit design, PCB layout, firmware integration, signal integrity analysis, and final system validation. All work shall be performed in compliance with Colombian technical regulations (RETIE), the National Technical Standards (NTC) issued by ICONTEC, and applicable IEC standards. The Electronics Engineer is expected to work on-site at our Medellín facility for a minimum of 60% of contracted hours, with the remaining time allocated to remote design and documentation tasks.

Payment shall be made in Colombian Pesos (COP) via bank transfer to the account designated by the Electronics Engineer. The payment schedule for this Purchase Order is as follows: 30% advance upon signing (COP 22,455,300), 40% upon delivery of prototype and passing of initial testing (COP 29,940,400), and 30% upon final acceptance, commissioning, and delivery of the complete documentation package (COP 22,455,300). Invoices must be issued in accordance with Colombian tax regulations (DIAN) and must reference this Purchase Order number PO-2025-COL-MDE-0047. Payment terms are net 15 calendar days from the date of invoice receipt.
4. TERMS AND CONDITIONSGeneral Conditions Applicable to This Purchase Order
- This Purchase Order constitutes a binding agreement between Andes Technology Solutions S.A.S. and the Electronics Engineer for the services described herein, to be executed in Colombia, Medellín, Antioquia.
- The Electronics Engineer warrants that all deliverables shall be original work, free of intellectual property infringement, and compliant with all applicable Colombian and international technical standards.
- The Electronics Engineer shall maintain professional liability insurance (póliza de responsabilidad civil profesional) with a minimum coverage of COP 50,000,000 for the duration of the contract.
- All work performed under this Purchase Order shall be subject to the Colombian Commercial Code (Código de Comercio) and applicable labor regulations of the city of Medellín.
- The Electronics Engineer shall comply with all health, safety, and environmental protocols at the Andes Technology Solutions facility in Medellín, including PPE requirements for electronics laboratory work.
- Confidentiality: The Electronics Engineer agrees to maintain strict confidentiality regarding all proprietary designs, trade secrets, and technical data disclosed during the execution of this Purchase Order. This obligation survives for a period of five (5) years beyond project completion.
- Delays: Any delay in delivery beyond the Required Delivery Date of July 15, 2025, shall be subject to a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
- Acceptance: Final acceptance of deliverables shall be confirmed in writing by the Project Manager at Andes Technology Solutions, Medellín, within ten (10) business days of delivery.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Medellín, Colombia, in accordance with the rules of the Chamber of Commerce of Medellín (Cámara de Comercio de Medellín).
- This Purchase Order may only be modified in writing, signed by both parties, and shall reference the original Purchase Order number.
