This Purchase Order is issued by Bavaria Industrial Systems GmbH for the professional engagement of a qualified Electronics Engineer to provide specialized technical services at our primary manufacturing and R&D facility located in Germany Munich. The Electronics Engineer shall be responsible for the design, development, testing, and commissioning of embedded electronic systems, printed circuit board (PCB) layouts, signal processing modules, and industrial control units as part of our ongoing product development programme for the fiscal year 2025/2026.

The Electronics Engineer must hold a minimum of a Master's degree in Electrical Engineering, Electronics, or a closely related discipline from an accredited German or internationally recognised university. A minimum of five (5) years of professional experience in the design and implementation of complex electronic systems, including familiarity with German industrial standards (DIN, VDE, and IEC norms), is required. The Electronics Engineer shall report directly to the Head of Engineering at our Munich headquarters and shall work on-site at the facility situated in the Munich district of Schwabing, Germany.

1. This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
2. The Electronics Engineer shall comply with all applicable German labour regulations, including the Arbeitszeitgesetz (Working Hours Act), the Betriebsverfassungsgesetz (Works Constitution Act), and all relevant provisions of the German Civil Code (BGB) pertaining to service contracts.
3. All intellectual property, designs, schematics, firmware, and technical documentation produced by the Electronics Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of Bavaria Industrial Systems GmbH, Munich, Germany.
4. The Electronics Engineer is bound by strict confidentiality obligations in accordance with the German Trade Secret Act (GeschGehG) and shall execute a non-disclosure agreement (NDA) prior to commencing work at the Munich facility.
5. Payment shall be made via bank transfer to the account specified by AlpenTech Engineering Solutions UG. Invoices must reference this Purchase Order number (PO-2025-MUC-04871) and shall be submitted monthly by the 5th business day.
6. Bavaria Industrial Systems GmbH reserves the right to terminate this Purchase Order with a written notice period of thirty (30) calendar days. In the event of early termination, the Electronics Engineer's services shall be compensated pro-rata for the period actually rendered.
7. The Electronics Engineer shall adhere to all health, safety, and environmental policies in force at the Munich, Germany premises, including compliance with the German Occupational Safety and Health Act (Arbeitsschutzgesetz).
8. Any amendments to the scope of work, pricing, or delivery schedule under this Purchase Order must be documented in a written addendum signed by both parties and shall not be valid unless countersigned by the authorised representatives of both entities.
9. This Purchase Order constitutes the entire agreement between the parties with respect to the engagement of the Electronics Engineer for the services described herein and supersedes all prior negotiations, representations, or agreements relating to the subject matter.
