This Purchase Order is issued by TechnoCore Solutions Pvt. Ltd. to engage the services of a qualified Electronics Engineer for the design, prototyping, testing, and commissioning of embedded control systems for an industrial automation project. The Electronics Engineer shall be physically stationed at the buyer's facility located in India New Delhi for the duration of the engagement. All deliverables, documentation, and on-site work shall be conducted in compliance with Indian Standards (IS/IEC) and the regulations of the Bureau of Indian Standards (BIS).

The Electronics Engineer team shall report to the buyer's premises in India New Delhi on or before 23 June 2025. The complete project, including all design iterations, prototype validation, and final documentation, shall be delivered no later than 22 August 2025. All physical deliverables (prototype boards, test reports, and documentation) shall be handed over at the buyer's facility in New Delhi, India. Electronic deliverables (source files, Gerber files, firmware binaries) shall be transferred via the buyer's secure project portal within 48 hours of final sign-off.
- Advance Payment (30%): ₹4,71,528 (inclusive of GST) payable within 7 working days of acceptance of this Purchase Order, via NEFT/RTGS to the supplier's designated bank account.
- Milestone Payment (40%): ₹6,28,704 (inclusive of GST) payable upon successful completion of prototype fabrication and passing of initial functional testing at the India New Delhi site.
- Final Payment (30%): ₹4,71,528 (inclusive of GST) payable within 15 working days of final acceptance of all deliverables and issuance of the Completion Certificate by the buyer's project manager.
- All payments shall be made in Indian Rupees (INR) to the following account: CircuitMind Engineering Services LLP, Account No. 5020-XXXX-XXXX, HDFC Bank, Connaught Place Branch, New Delhi, India. IFSC: HDFC0000123.
- Any delay in payment beyond the stipulated period shall attract interest at 1.5% per month on the outstanding amount, as per the terms of this Purchase Order.
- This Purchase Order is governed by the laws of India, and any disputes arising shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
- The Electronics Engineer and all supporting personnel engaged by the supplier shall comply with all applicable Indian labor laws, safety regulations, and the buyer's on-site safety protocols at the India New Delhi facility.
- All intellectual property (IP) generated, including but not limited to schematics, PCB layouts, firmware code, test data, and design documentation, shall be the sole and exclusive property of TechnoCore Solutions Pvt. Ltd. upon full payment.
- The supplier warrants that the Electronics Engineer assigned to this Purchase Order shall possess valid qualifications (B.E./B.Tech in Electronics & Communication or equivalent) and shall not be under any non-disclosure or non-compete obligation that conflicts with this engagement.
- The supplier shall maintain comprehensive professional indemnity and public liability insurance with a minimum cover of ₹50,00,000 for the duration of the work in India New Delhi.
- Any change in scope, additional work, or extension of timeline must be documented in a formal Change Order signed by both parties before execution. No verbal modifications to this Purchase Order shall be valid.
- The supplier shall provide a 12-month warranty on all hardware deliverables and a 6-month warranty on firmware and software deliverables from the date of final acceptance.
- Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged under this Purchase Order. A separate Non-Disclosure Agreement (NDA) dated 01 June 2025 is incorporated herein by reference.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government orders, or pandemics affecting operations in India New Delhi or elsewhere in India.
- This Purchase Order becomes effective upon written acceptance by both parties and remains valid until the completion of all obligations or until 14 July 2025, whichever is earlier.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of Electronics Engineer services in India New Delhi.
