This Purchase Order is issued by Al-Rafidain Industrial Solutions Co. Ltd. to Baghdad Advanced Electronics & Engineering Services LLC for the provision of a qualified Electronics Engineer to support the design, testing, and commissioning of industrial control systems at our manufacturing facility located in Iraq Baghdad. The Electronics Engineer shall be responsible for the following deliverables and tasks as outlined in this Purchase Order:

  1. Acceptance: This Purchase Order becomes a binding contract upon written acceptance by the Supplier. The Supplier must return a signed copy of this Purchase Order to Al-Rafidain Industrial Solutions Co. Ltd. within five (5) business days of receipt. Failure to respond within this period shall be interpreted as acceptance of all terms herein.
  2. Performance Period: The Electronics Engineer shall commence work no later than 1 July 2025 and shall complete all deliverables by 31 December 2025, unless otherwise agreed in writing. All work shall be performed at the client's premises in Iraq Baghdad or at such other locations as mutually agreed.
  3. Qualifications: The Electronics Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Electronics Engineering or Electrical Engineering from an accredited Iraqi or internationally recognized university, with a minimum of eight (8) years of progressive experience in industrial electronics, embedded systems, and automation. A valid professional license issued by the Iraqi Engineers Syndicate (Baghdad Branch) is mandatory.
  4. Payment Schedule: Payment shall be made in three (3) installments: 30% upon commencement of work, 40% upon completion of the design and testing phase, and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the Supplier's designated account in Baghdad, Iraq. Payment terms are Net 30 days from the date of invoice.
  5. Intellectual Property: All designs, schematics, firmware code, and technical documentation produced by the Electronics Engineer under this Purchase Order shall become the exclusive property of Al-Rafidain Industrial Solutions Co. Ltd. upon full payment. The Supplier shall not reuse, reproduce, or disclose any proprietary information obtained during the engagement.
  6. Compliance with Iraqi Law: All services rendered under this Purchase Order shall comply with the laws and regulations of the Republic of Iraq, including but not limited to the Iraqi Labor Law, the Iraqi Commercial Code, and all applicable standards issued by the Iraqi Standards and Metrology Organization (ISMDO) in Baghdad.
  7. Confidentiality: The Electronics Engineer and the Supplier agree to maintain strict confidentiality regarding all technical data, trade secrets, and operational information of the client. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for all work satisfactorily completed up to the date of termination, as documented in the project log maintained by the Electronics Engineer.
  9. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the dispute shall be referred to the competent courts of Baghdad, Iraq, and the laws of the Republic of Iraq shall govern this Purchase Order.
  10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, war, civil unrest, government sanctions, or pandemics affecting operations in Iraq Baghdad.

All deliverables specified in this Purchase Order shall be submitted to the Project Manager at Al-Rafidain Industrial Solutions Co. Ltd., Baghdad office, in both digital (PDF, CAD, source code) and hard-copy formats. The client reserves the right to reject any deliverable that does not meet the specifications outlined in the attached Technical Scope of Work (Annex A). The Electronics Engineer shall have ten (10) business days to rectify any non-conformities identified during the acceptance review.

This Purchase Order is issued and authorized by the undersigned representatives of both parties. By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order for the provision of Electronics Engineer services in Iraq Baghdad.
