Terms & Conditions of This Purchase Order

1. This Purchase Order is issued by Al-Nakheel Engineering & Technology Solutions W.L.L. and governs the procurement of Electronics Engineer professional services and associated equipment for projects located in Kuwait Kuwait City. All work shall comply with the Kuwaiti Electrical Code and the regulations set forth by the Public Authority for Telecommunications (PAT).
2. The Vendor shall assign qualified Electronics Engineer personnel who hold a minimum of a Bachelor's degree in Electrical or Electronics Engineering from an accredited institution, with a minimum of five (5) years of relevant industry experience. CVs and professional certifications must be submitted prior to commencement of work.
3. All deliverables, including but not limited to PCB layouts, firmware source code, test reports, and technical documentation, shall be the exclusive intellectual property of the Buyer upon full payment. The Electronics Engineer team shall sign a Non-Disclosure Agreement (NDA) before accessing any proprietary project data.
4. Payment terms: 40% advance upon acceptance of this Purchase Order, 40% upon successful delivery and acceptance of all deliverables in Kuwait Kuwait City, and 20% upon final sign-off after a 30-day warranty period. Payments shall be made via bank transfer to the Vendor's designated account in Kuwaiti Dinar (KWD).
5. Delivery and performance shall take place at the Buyer's facility located in Kuwait Kuwait City, or at such other location as mutually agreed in writing. The Vendor is responsible for all transportation, insurance, and customs clearance of any imported equipment.
6. Warranty: The Electronics Engineer shall provide a minimum 12-month warranty on all design deliverables and a 6-month warranty on all calibrated equipment. Any defects discovered during the warranty period shall be rectified at no additional cost to the Buyer.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest in Kuwait Kuwait City. Affected parties must notify the other within 48 hours of the event.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the matter shall be referred to arbitration under the rules of the Kuwait Commercial Arbitration Centre in Kuwait Kuwait City. The governing law shall be the laws of the State of Kuwait.
9. This Purchase Order becomes effective upon signature by both parties and remains valid until 14 July 2025 unless extended in writing. Any amendments must be documented in a written addendum signed by both parties.
