This Purchase Order is issued by Grupo Tecnológico del Valle, S.A. de C.V. (hereinafter referred to as the "Buyer") to Ingeniería Electrónica Avanzada, S.A. de C.V. (hereinafter referred to as the "Vendor") for the engagement of a qualified Electronics Engineer to provide specialized technical consulting, circuit design, and systems integration services. The scope of work under this Purchase Order shall be performed in and around Mexico, Mexico City, in accordance with the specifications outlined below and in compliance with all applicable Mexican federal and local regulations governing professional engineering services.

The Buyer requires the services of a certified Electronics Engineer to oversee the redesign and optimization of the embedded control systems for a new line of industrial automation equipment. The Electronics Engineer shall be responsible for schematic design, PCB layout review, signal integrity analysis, firmware integration testing, and final validation of all electronic subsystems. All deliverables must meet the technical standards established by the Buyer and comply with NOM-001-SCFI and applicable Mexican electrical safety codes.

The Electronics Engineer assigned under this Purchase Order shall perform the following tasks within the Buyer's premises located in Mexico City, Mexico, and at the Vendor's laboratory facility in the Mexico City metropolitan area:

  • Conduct a full technical audit of the existing embedded control architecture and produce a gap analysis report within the first 10 business days.
  • Design and iterate on the 4-channel industrial control board schematic, ensuring compliance with the Buyer's thermal and power budget constraints.
  • Perform signal integrity simulations and EMC pre-compliance testing in accordance with IEC 61000-4-2 through 61000-4-6.
  • Develop and validate firmware integration protocols in coordination with the Buyer's software engineering team.
  • Execute on-site commissioning at the Buyer's production facility in Mexico City, including final acceptance testing and sign-off.
  • Deliver a complete technical documentation package, including Gerber files, netlists, test procedures, and a final engineering report.

5.1 This Purchase Order is governed by the Commercial Code of Mexico and the Federal Civil Code. Any disputes arising from this Purchase Order shall be resolved through arbitration in Mexico City, Mexico, in accordance with the rules of the Mexican Arbitration Center (CAM).

5.2 The Vendor warrants that the Electronics Engineer assigned to this Purchase Order holds a valid professional license (cédula profesional) issued by the relevant Mexican authority and possesses a minimum of eight (8) years of experience in industrial electronics design.

5.3 All intellectual property generated under this Purchase Order, including but not limited to schematics, PCB layouts, firmware code, and test data, shall be the exclusive property of the Buyer upon full payment.

5.4 The Vendor shall comply with all applicable Mexican labor, tax, and data protection laws (Ley Federal de Protección de Datos Personales en Posesión de los Particulares) when handling the Buyer's proprietary information.

5.5 Payment shall be made via bank transfer to the Vendor's designated account in Mexican Pesos (MXN) within thirty (30) calendar days of receipt of a valid invoice (factura) issued in compliance with Mexican SAT (Servicio de Administración Tributaria) regulations.

5.6 The Vendor shall maintain professional liability insurance with a minimum coverage of MXN 2,000,000 for the duration of the engagement specified in this Purchase Order.

5.7 Any modifications to the scope of work defined in this Purchase Order must be approved in writing by both parties through a formal change order. Unauthorized deviations may result in rejection of deliverables.

All on-site activities, commissioning, and validation work under this Purchase Order shall take place at the Buyer's facility located at Av. Insurgentes Sur 1420, Col. Insurgentes Mixcoac, Mexico City, Mexico. The Vendor's Electronics Engineer team shall coordinate with the Buyer's project manager a minimum of five (5) business days in advance for any on-site visits. Remote work and laboratory activities may be conducted at the Vendor's premises in Mexico City, Mexico, subject to the Buyer's data security protocols.

By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work defined in this Purchase Order. This document constitutes a binding agreement for the procurement of Electronics Engineer professional services in Mexico, Mexico City.
