This Purchase Order is issued by Meridian Technical Solutions Ltd (hereinafter referred to as the "Purchaser") to Pacific Circuit Engineering Group (hereinafter referred to as the "Supplier") for the engagement of a qualified Electronics Engineer to provide specialised technical services at the Purchaser's operational facilities located in New Zealand Auckland. This Purchase Order governs the scope of work, deliverables, compensation, and all associated terms and conditions for the provision of Electronics Engineer services within the Auckland metropolitan region of New Zealand.
The Electronics Engineer engaged under this Purchase Order shall perform the following duties and responsibilities at the designated project site in New Zealand Auckland:
- Design, development, and testing of custom printed circuit board (PCB) assemblies for industrial automation systems deployed across the Auckland manufacturing corridor.
- Conducting comprehensive fault diagnosis, troubleshooting, and repair of existing electronic control systems at the Purchaser's facility located at 42 Queen Street, Auckland CBD, New Zealand.
- Preparing detailed technical documentation, schematics, and Bill of Materials (BOM) in compliance with New Zealand Standards (NZS) and the Electrical and Electronic Engineers New Zealand (EEENZ) professional guidelines.
- Supervising and mentoring junior technical staff on-site in Auckland, ensuring adherence to all health and safety regulations as mandated by WorkSafe New Zealand.
- Performing electromagnetic compatibility (EMC) testing and certification in accordance with the New Zealand Radio Communications Regulations 2004.
- Providing weekly progress reports to the Purchaser's project management team based in Auckland, New Zealand, detailing milestones achieved, risks identified, and corrective actions taken.
- Ensuring all electronic components and subsystems meet the requirements of the New Zealand Electrical Wiring Regulations (AS/NZS 3000) and applicable Auckland Council building and electrical bylaws.

The Electronics Engineer services under this Purchase Order shall commence on 1 July 2025 and are expected to be completed by 30 August 2025, subject to satisfactory milestone sign-off by the Purchaser. All work shall be performed at the Purchaser's premises in New Zealand Auckland unless otherwise agreed in writing. The Supplier shall ensure that the Electronics Engineer assigned to this project holds a valid New Zealand Engineering Council (ENZ) registration and possesses a minimum of eight (8) years of post-qualification experience in industrial electronics.
- This Purchase Order is governed by the laws of New Zealand, specifically the Contract and Commercial Law Act 2017 and the Consumer Guarantees Act 1993 where applicable.
- All payments shall be made in New Zealand Dollars (NZD) via direct bank transfer to the Supplier's nominated account. Invoices are payable within thirty (30) calendar days of receipt.
- The Supplier warrants that the Electronics Engineer engaged shall comply with all applicable New Zealand employment law, including the Employment Relations Act 2000, and shall carry adequate professional indemnity insurance with a minimum cover of NZD 5,000,000.
- All intellectual property, designs, schematics, and documentation produced by the Electronics Engineer in the course of this engagement shall vest in the Purchaser upon full payment of this Purchase Order.
- The Supplier shall ensure that all work performed in New Zealand Auckland complies with the Auckland Unitary Plan, local council regulations, and all relevant New Zealand environmental and safety legislation.
- Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Purchaser shall be liable for all services rendered up to the date of termination.
- Any disputes arising from this Purchase Order shall be resolved through mediation in Auckland, New Zealand, in accordance with the Disputes Standards Act 2017, before resorting to the District Court of Auckland.
- The Supplier shall maintain a valid New Zealand Business Number (NZBN) and be registered for Goods and Services Tax (GST) with the Inland Revenue Department (IRD) of New Zealand for the duration of this engagement.
This Purchase Order constitutes a binding offer for the provision of Electronics Engineer services in New Zealand Auckland. Acceptance of this Purchase Order by the Supplier shall be confirmed by countersignature below or by written acknowledgment within five (5) business days of the date of issue. Failure to respond within this period shall be deemed a declination of this Purchase Order.
