This Purchase Order is issued by Lagos Tech Solutions Ltd. to procure the professional services of a qualified Electronics Engineer for the design, prototyping, testing, and commissioning of industrial control systems to be deployed across our manufacturing facilities in Nigeria Lagos. All payments under this Purchase Order shall be made in Nigerian Naira (NGN) via bank transfer to the account of Naira Circuit Engineering Consultants. The payment schedule is structured as follows:
- 30% Advance Payment (NGN 4,305,375): Due within 5 business days of acceptance of this Purchase Order, prior to commencement of design work by the Electronics Engineer.
- 40% Milestone Payment (NGN 5,740,500): Payable upon successful delivery and sign-off of PCB assemblies and completion of on-site installation in Nigeria Lagos.
- 30% Final Payment (NGN 4,305,375): Payable within 10 business days of final commissioning, acceptance of all documentation, and issuance of the warranty certificate.
The Electronics Engineer and the supporting team shall complete all deliverables within a total project duration of twelve (12) weeks from the date of the advance payment. The project is to be executed at the buyer's facility located in Nigeria Lagos, Yaba Industrial Estate, with all work conducted in compliance with Nigerian Standards Organisation (SON) regulations and the Nigerian Communications Commission (NCC) guidelines where applicable.
- This Purchase Order constitutes a binding agreement between the parties upon signature by both the buyer and the seller. No modification to this Purchase Order shall be valid unless made in writing and signed by both parties.
- The Electronics Engineer engaged under this Purchase Order must hold a valid professional registration with the Council for the Regulation of Engineering in Nigeria (COREN) and possess a minimum of eight (8) years of relevant experience in industrial electronics and control systems.
- All work performed in Nigeria Lagos shall comply with local labour laws, occupational health and safety standards, and environmental regulations as enforced by the Lagos State Government and federal authorities.
- The supplier warrants that all components, materials, and designs delivered under this Purchase Order shall be free from defects for a period of six (6) months from the date of final commissioning.
- Intellectual property rights for all designs, schematics, firmware, and documentation created specifically for Lagos Tech Solutions Ltd. under this Purchase Order shall vest exclusively in the buyer upon full payment.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Nigeria Lagos. Should mediation fail, the matter shall be referred to arbitration under the Arbitration and Conciliation Act (Cap A18, LFN 2004).
- Force majeure events, including but not limited to natural disasters, government-imposed lockdowns in Nigeria Lagos, or power infrastructure failures beyond reasonable control, shall extend the delivery timeline proportionally without penalty to either party.
- The supplier shall maintain comprehensive professional indemnity and public liability insurance with a minimum coverage of NGN 50,000,000 for the duration of this Purchase Order.
- Confidentiality: All proprietary information, trade secrets, and technical data exchanged in connection with this Purchase Order shall be treated as strictly confidential by the Electronics Engineer and all associated personnel.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Electronics Engineer services in Nigeria Lagos.
