1. Description of Purchase OrderThis Purchase Order is issued by Philippine Circuit Solutions, Inc., a registered corporation operating in Metro Manila, Philippines, for the procurement of professional engineering services rendered by a qualified Electronics Engineer. The scope of this Purchase Order covers the full-time engagement of a senior Electronics Engineer to provide circuit design, PCB layout development, signal integrity analysis, and embedded systems integration for the Buyer's next-generation telecommunications hardware project. All services under this Purchase Order shall be performed within the Philippines Manila metropolitan area, specifically at the Buyer's facility located in Makati City, unless otherwise directed in writing by the project supervisor.

- Qualification Requirement: The Electronics Engineer assigned under this Purchase Order must be a licensed Professional Electronics Engineer registered with the Professional Regulation Commission (PRC) of the Philippines, holding a valid Certificate of Professional Registration (CPR) and a current Professional Tax Receipt. A copy of the PRC license shall be submitted to the Buyer prior to commencement of work.
- Place of Performance: All services shall be rendered at the Buyer's premises in Metro Manila, Philippines, or at such other location within the Philippines Manila area as mutually agreed upon in writing. Remote work is not authorized under this Purchase Order without prior written consent.
- Payment Terms: Payment shall be made on a monthly basis within fifteen (15) calendar days from the receipt of a valid Official Receipt (OR) and a detailed timesheet signed by the Buyer's project supervisor. Payment shall be made via bank transfer to the Seller's designated account in the Philippines.
- Tax Compliance: All amounts stated in this Purchase Order are inclusive of the 12% Value-Added Tax (VAT) as mandated by the Bureau of Internal Revenue (BIR) of the Philippines. The Seller shall issue a BIR-accredited Official Receipt for each payment.
- Intellectual Property: All designs, schematics, firmware code, documentation, and work products created by the Electronics Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of the Buyer. The Electronics Engineer shall execute a Non-Disclosure Agreement (NDA) and an Intellectual Property Assignment document prior to commencing work.
- Work Schedule: The Electronics Engineer shall observe the standard workweek in the Philippines Manila, Monday through Friday, from 8:00 AM to 5:00 PM Philippine Standard Time (PST), with a one-hour lunch break. Overtime, if required, shall be compensated in accordance with the Philippine Labor Code (Republic Act No. 6715).
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Seller shall deliver all work-in-progress materials and documentation to the Buyer within seven (7) days of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising herefrom shall be resolved through the courts of competent jurisdiction in Metro Manila, Philippines.
- Confidentiality: The Electronics Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and project details of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Insurance and Liability: The Seller shall maintain professional liability insurance with a minimum coverage of PHP 5,000,000.00 for the duration of this Purchase Order. The Electronics Engineer shall be covered under the Seller's employer's liability and workers' compensation insurance as required by the Philippine Department of Labor and Employment (DOLE).
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Electronics Engineer in the Philippines Manila area. This Purchase Order constitutes a binding agreement between the parties upon execution by both authorized signatories.
