All services under this Purchase Order shall be performed at the NorthBridge Electronics Solutions LLC facility located at 142 Liteyny Avenue, Saint Petersburg, Russia, 191025, unless otherwise agreed in writing. The Electronics Engineer shall commence work no later than 1 July 2025 and shall complete all deliverables by 30 September 2025. Weekly progress reports shall be submitted every Friday by 17:00 Moscow Time (MSK). Any extension of the project timeline must be approved in writing by the Chief Procurement Officer of NorthBridge Electronics Solutions LLC.

1. This Purchase Order is governed by the Civil Code of the Russian Federation and applicable commercial regulations in force in Saint Petersburg, Russia. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Arbitration Court of Saint Petersburg and Leningrad Oblast.
2. The Electronics Engineer engaged under this Purchase Order shall comply with all occupational health and safety regulations, intellectual property policies, and confidentiality agreements of NorthBridge Electronics Solutions LLC. A signed Non-Disclosure Agreement (NDA) must be executed prior to the commencement of work.
3. Payment shall be made via bank transfer to the account of Volga Circuit Engineering & Consulting JSC within thirty (30) calendar days from the date of receipt of a valid invoice, in accordance with the payment terms stated in this Purchase Order. Late payments shall accrue interest at the rate of 0.05% per calendar day as stipulated by Article 317.1 of the Russian Civil Code.
4. All deliverables, including but not limited to schematics, PCB layouts, firmware source code, test reports, and technical documentation produced by the Electronics Engineer, shall become the exclusive property of NorthBridge Electronics Solutions LLC upon full payment.
5. The vendor warrants that the Electronics Engineer assigned to this Purchase Order holds valid professional certifications, possesses the requisite technical qualifications, and is legally authorized to perform engineering services within the territory of Russia Saint Petersburg.
6. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all services rendered and materials procured up to the date of termination, subject to a final reconciliation meeting.
7. This Purchase Order does not constitute a guarantee of employment. The Electronics Engineer is engaged as a specialist consultant and shall not be considered an employee of NorthBridge Electronics Solutions LLC for purposes of labor law.
8. All communications, amendments, and addenda related to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Electronic signatures in accordance with Federal Law No. 63-FZ of 06 April 2011 shall be deemed valid.
