- Governing Jurisdiction: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Republic of South Africa. Any disputes arising from this Purchase Order relating to the Electronics Engineer engagement shall be resolved in the High Court of South Africa, Cape Town Division.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining 70% shall be payable in two equal instalments: 50% upon successful prototype validation and 50% upon final commissioning and handover in South Africa Cape Town.
- Delivery and Performance: All deliverables, including design files, firmware binaries, and physical prototypes, shall be delivered to the buyer's premises at 42 Bree Street, Cape Town Central, South Africa, no later than 30 September 2025. The Electronics Engineer shall provide weekly progress reports to the buyer's project manager.
- Intellectual Property: All work product, including schematics, PCB layouts, firmware source code, and documentation created by the Electronics Engineer under this Purchase Order, shall become the exclusive property of CapeTech Solutions (Pty) Ltd upon full and final payment.
- Compliance and Standards: The Electronics Engineer shall ensure all designs comply with SANS 10142-1, IEC 61000 series, and NRCS compulsory specifications. All components shall be sourced from approved distributors operating within South Africa where feasible.
- Warranty: The Electronics Engineer warrants that all services rendered under this Purchase Order shall be performed in a professional and workmanlike manner. A twelve-month warranty on design defects is included from the date of final acceptance in Cape Town.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and proprietary information exchanged in connection with this Purchase Order. This obligation survives termination for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the buyer shall pay for all services rendered and materials procured up to the date of termination.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government regulations in South Africa, or supply chain disruptions affecting the Cape Town region.
