Terms and Conditions
- Scope and Standards: All services rendered by the Electronics Engineer shall comply with the Tanzania Standards Bureau (TSB) regulations, the Tanzania Electric Power Supply Company (TANESCO) technical specifications, and applicable international standards (IEC 61850, IEC 60870-5-104) relevant to power grid electronics.
- Professional Qualification: The Electronics Engineer shall hold a valid professional license issued by the Tanzania Professional Engineers Board (TPEB) and shall maintain professional indemnity insurance with a minimum cover of TZS 500,000,000 throughout the duration of this Purchase Order.
- Delivery and Performance: All deliverables, including hardware, documentation, and on-site services, shall be completed at the designated locations within Tanzania Dar es Salaam no later than 14 November 2025. The Electronics Engineer shall provide a detailed project schedule within 14 days of this Purchase Order's acceptance.
- Payment Schedule: Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 50% upon successful commissioning and acceptance of all installed systems, and 20% upon completion of the 6-month monitoring period and final handover. All payments shall be made via bank transfer to the account specified by the Electronics Engineer.
- Warranty: The Electronics Engineer shall provide a minimum 24-month warranty on all supplied electronic components and hardware. Any defects discovered within the warranty period shall be rectified at no additional cost to TNIDA.
- Intellectual Property: All designs, schematics, and technical documentation produced under this Purchase Order shall become the exclusive property of TNIDA upon full payment. The Electronics Engineer retains the right to reference the project in professional portfolios with prior written consent.
- Compliance with Tanzanian Law: This Purchase Order is governed by and shall be interpreted in accordance with the laws of the United Republic of Tanzania, including the Public Procurement Act (Cap. 391) and the Electronic and Postal Communications Act. Any disputes shall be resolved through arbitration in Dar es Salaam, Tanzania, in accordance with the rules of the Tanzania Centre for Arbitration.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or supply chain disruptions affecting the Dar es Salaam port and logistics corridors.
- Confidentiality: The Electronics Engineer shall treat all project data, grid topology information, and security protocols as strictly confidential and shall not disclose them to any third party without written authorization from TNIDA.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Electronics Engineer shall be compensated for all work completed and materials procured up to the date of termination, subject to a final inspection by TNIDA.
