All services under this Purchase Order shall be performed in Turkey Istanbul in accordance with the technical specifications outlined in Annex A (attached separately) and in compliance with all applicable regulations of the Republic of Turkey, including the Turkish Labor Law (Law No. 4857) and the relevant standards issued by the Turkish Standards Institution (TSE/TS EN).

- Commencement and Duration: The Electronics Engineer shall commence duties no later than 1 July 2025 at the Buyer's facility in Tuzla, Istanbul, Turkey. The engagement period is six (6) months, extendable by mutual written agreement for an additional three (3) months.
- Payment Terms: Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice from Meridian Technical Consulting Ltd. The initial mobilization fee (Line Item 1) is due within fifteen (15) days of the effective date of this Purchase Order. All payments shall be made via bank transfer to the account specified by the Supplier in Turkey Istanbul.
- Performance Standards: The Electronics Engineer shall adhere to the technical specifications, milestones, and deliverable schedule set forth in Annex A. Failure to meet agreed milestones without prior written justification may result in a penalty of 1% of the monthly retainer per day of delay, capped at 10% of the monthly amount.
- Intellectual Property: All designs, schematics, firmware code, test data, and documentation produced by the Electronics Engineer in the course of this Purchase Order shall be the exclusive property of Anatolia Industrial Solutions A.Ş. The Supplier warrants that no third-party intellectual property rights shall be infringed.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the execution of this Purchase Order. This obligation shall survive termination for a period of five (5) years.
- Insurance and Liability: The Supplier shall ensure that the Electronics Engineer is covered under valid professional liability insurance and occupational health and safety insurance as required by Turkish law. The Supplier shall indemnify the Buyer against any claims arising from the Engineer's negligence or professional misconduct.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date. Early termination by the Buyer without cause shall incur a cancellation fee of 15% of the remaining contract value.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising hereunder shall be resolved by the competent courts in Istanbul, Turkey. The parties may, at their discretion, submit disputes to arbitration under the rules of the Istanbul Arbitration Centre (ISTAC).
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Turkey Istanbul.
- Compliance: The Supplier warrants that the Electronics Engineer holds all necessary professional licenses, certifications, and work permits valid in Turkey. The Supplier shall comply with all applicable Turkish labor, tax, and social security obligations.
All deliverables under this Purchase Order shall be submitted to the Buyer's Engineering & R&D Department at the Tuzla facility, Istanbul, Turkey. The Buyer shall have ten (10) business days to review and accept or reject each deliverable. Rejection must be accompanied by a written statement of non-conformity. The Electronics Engineer shall rectify any identified deficiencies within five (5) business days at no additional cost to the Buyer.
