Description of Purchase Order – Electronics Engineer ServicesThis Purchase Order is issued by Uganda Electronics & Engineering Solutions Ltd. (hereinafter referred to as the "Purchaser") to Kampala Circuit Design & Engineering Co. Ltd. (hereinafter referred to as the "Vendor") for the professional engagement of a qualified Electronics Engineer to provide specialized technical services at the Purchaser's operational facility located in Kampala, Uganda. The Electronics Engineer shall be responsible for the design, prototyping, testing, and commissioning of industrial control systems, signal processing units, and embedded electronic circuits as specified in the attached technical scope of work. All services rendered under this Purchase Order shall be executed in full compliance with the standards set by the Uganda National Bureau of Standards (UNBS) and the Engineering Council of Uganda (ECU).

1. Scope of Work: The Electronics Engineer engaged under this Purchase Order shall perform all duties in accordance with the technical specifications outlined in Annexure A attached hereto. All work shall be carried out at the Purchaser's premises located at Plot 14, Kampala Road, Kampala, Uganda, unless otherwise agreed in writing.
2. Qualification Requirements: The Electronics Engineer must hold a minimum of a Bachelor's degree in Electronic Engineering or Electrical and Electronic Engineering from a recognized institution in Uganda or internationally, and must be a registered member in good standing with the Engineering Council of Uganda (ECU). A minimum of five (5) years of post-qualification experience in industrial electronics is required.
3. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Vendor. Payment shall be processed via bank transfer to the Vendor's designated account at Stanbic Bank Uganda, Kampala branch. The Purchaser shall deduct applicable withholding tax as per Uganda Revenue Authority (URA) regulations before remittance.
4. Delivery and Timeline: The Electronics Engineer shall commence services on or before 01 July 2025. The entire scope of work shall be completed within ninety (90) calendar days from the start date. Any delays attributable to the Vendor shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10% of the total value.
5. Intellectual Property: All designs, schematics, firmware code, and technical documentation produced under this Purchase Order shall remain the exclusive property of Uganda Electronics & Engineering Solutions Ltd. The Electronics Engineer and the Vendor shall sign a non-disclosure agreement (NDA) prior to commencing work.
6. Compliance and Standards: All electronic designs and components used must comply with the Uganda National Bureau of Standards (UNBS) and applicable East African Community (EAC) harmonized standards. The Electronics Engineer shall ensure that all work meets the safety and performance requirements stipulated by the Uganda Communications Commission (UCC) where telecommunications equipment is involved.
7. Insurance and Liability: The Vendor shall maintain comprehensive professional indemnity insurance and public liability insurance covering the Electronics Engineer for the duration of the engagement. The minimum cover shall be UGX 500,000,000. Proof of insurance shall be submitted to the Purchaser prior to the start date.
8. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Purchaser shall pay for all services satisfactorily rendered up to the date of termination, less applicable taxes.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising shall be resolved through arbitration in Kampala, Uganda, in accordance with the Arbitration Act, Cap 72 of the Laws of Uganda.
10. General: This Purchase Order constitutes the entire agreement between the parties with respect to the engagement of the Electronics Engineer. No amendment or modification shall be valid unless made in writing and signed by authorized representatives of both parties.
