- Scope of Work: This Purchase Order authorizes Apex Electronics Engineering Group LLC to provide the services of a qualified Electronics Engineer and associated materials as described in the line items above. All engineering work shall be performed in accordance with the technical specifications outlined in Project Reference MCS-CHG-2025-Q2, which is incorporated herein by reference.
- Place of Performance: All on-site activities, design reviews, and prototype testing shall take place at the Meridian Circuit Solutions facility located in United States Chicago, specifically at 1480 N. Clark Street, Suite 2200, Chicago, Illinois 60610. Remote work may be conducted at the vendor's office in Chicago, Illinois, subject to mutual agreement.
- Payment Terms: Net 30 days from receipt of a valid invoice. Payment shall be made via ACH transfer to the bank account designated on the vendor's W-9 form. A 1.5% monthly late fee shall apply to overdue balances. No payment shall be due until the corresponding milestone deliverable has been accepted in writing by the Director of Engineering.
- Intellectual Property: All designs, schematics, firmware code, PCB layouts, and documentation produced under this Purchase Order shall be the sole and exclusive property of Meridian Circuit Solutions, Inc. The Electronics Engineer and the vendor firm hereby assign all rights, title, and interest in such work product to the buyer upon full payment.
- Confidentiality: The vendor and the assigned Electronics Engineer agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data disclosed during the course of this engagement. This obligation shall survive termination of this Purchase Order for a period of five (5) years.
- Compliance: All work shall comply with applicable federal, state (Illinois), and local (City of Chicago) regulations, including but not limited to FCC Part 15 emissions standards, UL safety requirements, and OSHA workplace safety guidelines. The Electronics Engineer shall hold a valid Professional Engineer (PE) license in the State of Illinois or be working under the supervision of a licensed PE.
- Warranty: The vendor warrants that all services will be performed in a professional and workmanlike manner by a qualified Electronics Engineer with a minimum of eight (8) years of relevant experience. A twelve-month warranty period applies to all delivered hardware and firmware from the date of final acceptance.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall pay for all services rendered and materials procured up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States. Any disputes shall be resolved through binding arbitration in Chicago, Illinois, in accordance with the rules of the American Arbitration Association.
- Insurance: The vendor shall maintain Commercial General Liability insurance of not less than $2,000,000 per occurrence and Professional Liability (Errors & Omissions) insurance of not less than $1,000,000, naming Meridian Circuit Solutions, Inc. as an additional insured.
