This Purchase Order is issued by Tashkent Industrial Technologies JSC to formally request and authorize the engagement of a qualified Electronics Engineer to provide specialized technical services at the buyer's manufacturing facility located in Tashkent, Uzbekistan. The Electronics Engineer shall be responsible for the design, development, testing, and commissioning of embedded electronic control systems for the buyer's new production line of industrial automation equipment.
The scope of work for the Electronics Engineer includes, but is not limited to, the following deliverables:

3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties. All services described herein shall be performed in accordance with the standards and regulations applicable in the Republic of Uzbekistan, including but not limited to the requirements of the State Committee of the Republic of Uzbekistan on Technical Regulation and Metrology.
3.2 The Electronics Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Electronics Engineering or a related field, possess at least eight (8) years of professional experience in industrial electronics, and be legally authorized to perform engineering services within the territory of Uzbekistan. A copy of the relevant professional license and work permit shall be submitted to the Buyer prior to commencement of work.
3.3 All work shall be carried out at the Buyer's premises located at 14 Amir Temur Avenue, Tashkent, Uzbekistan, unless otherwise agreed in writing. The Electronics Engineer shall comply with all site safety protocols and occupational health regulations enforced in Tashkent.
3.4 The Seller warrants that all deliverables produced by the Electronics Engineer shall be free from defects in design and workmanship for a period of twelve (12) months from the date of final acceptance by the Buyer.
3.5 Intellectual property rights for all designs, schematics, firmware, and documentation created specifically under this Purchase Order shall vest exclusively in the Buyer upon full payment.
3.6 The Seller shall not subcontract any portion of the Electronics Engineer's services without prior written consent from the Buyer.
3.7 Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the Arbitration Center of the Chamber of Commerce and Industry of the Republic of Uzbekistan in Tashkent.

The Electronics Engineer shall commence work no later than 1 July 2025 at the Buyer's facility in Tashkent, Uzbekistan. The total project duration shall not exceed 155 calendar days from the commencement date. Any delays attributable to the Seller shall incur a penalty of 0.5% of the total contract value per calendar day of delay, capped at 10% of the total contract value.
This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Uzbekistan and all applicable laws of Uzbekistan. The venue for any legal proceedings shall be the competent courts of Tashkent City, Uzbekistan.
