This Purchase Order is issued by Saigon Tech Solutions Co., Ltd. to procure the professional services of a qualified Electronics Engineer to be deployed and rendered at the client's operational facility located in Vietnam Ho Chi Minh City. The Electronics Engineer shall be responsible for the design, prototyping, testing, and commissioning of embedded control systems, printed circuit board (PCB) layouts, signal processing modules, and industrial automation interfaces as specified in the attached technical scope of work (Reference: SOW-2025-118).
The engagement of the Electronics Engineer is critical to the completion of Phase II of the client's smart manufacturing line upgrade project, which is scheduled for full operational readiness by the end of Q3 2025. All work shall be performed in compliance with Vietnamese national technical standards (TCVN), applicable IEC 60950 safety regulations, and the specific quality management requirements outlined in this Purchase Order.

- Scope of Work: The Electronics Engineer shall perform all duties strictly within the technical scope defined in SOW-2025-118. Any work outside this scope requires a written change order approved by both parties prior to execution.
- Service Location: All on-site services shall be rendered at the client's premises in Vietnam Ho Chi Minh City, specifically at the District 7 industrial park facility. The vendor is responsible for arranging local transportation for the Electronics Engineer within the city limits.
- Work Schedule: The Electronics Engineer shall adhere to the standard Vietnamese working week of Monday through Friday, 08:00 to 17:00, with a one-hour lunch break. Overtime, if required, shall be compensated at 1.5 times the daily rate and must be pre-approved in writing.
- Payment Schedule: Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 40% upon completion of design and prototyping milestones, and 30% upon final commissioning and handover. All payments shall be made via bank transfer to the vendor's account in VND.
- Quality Assurance: All deliverables produced by the Electronics Engineer must pass the client's internal quality review. Non-conforming work shall be rectified at the vendor's own cost within five (5) business days of notification.
- Confidentiality: The Electronics Engineer and the vendor shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All proprietary designs, schematics, and firmware code developed under this Purchase Order remain the exclusive intellectual property of Saigon Tech Solutions Co., Ltd.
- Compliance: The vendor warrants that the Electronics Engineer holds a valid engineering license or certification recognized by the Ministry of Science and Technology of Vietnam and complies with all labor laws applicable in Vietnam Ho Chi Minh City.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the client shall pay for all services rendered up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes shall be resolved through arbitration at the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Electronics Engineer in Vietnam Ho Chi Minh City. This document constitutes a binding commercial agreement effective from the date of the last signature.
